Ugovor o ustupanju i raspodeli imovine za života kao pravni osnov za prenos porodičnog preduzeća

Abstract

У овом тексту истражује се значај уговора о уступању и расподели имовине за живота као правне форме за пренос породич- ног предузећа с једне генерације на другу. Аутор објашњава опас- ности које правила наследног права, а нарочито правила нужног наслеђивања, стварају за дугорочни опстанак породичне компаније, као и начине да се та опасност отклони или ублажи. Аутор укратко приказује главне суштинске проблеме који се јављају код организације и наслеђивања породичног предузећа и указује на значај који право може да има за успешну сукцесију. У раду се закључује да је уговор о уступању и расподели имовине за живота најбољи прав- ни основ за пренос породичног предузећа (како породичне компаније тако и друге имовине) јер је њиме обухваћена имовина заштићена од захтева нужних наследника.

This text examines the importance of the contract of assignment and distribution of property (Ugovor o ustupanju i raspodeli imovine za života) as the legal form of transfer of a family enterprise from one generation to the next. The author explains the dangers which rules of succession law, and especially rules relating to forced shares, pose for long term success of a family company, as well as the methods to remove or reduce those dangers. The author briefly presents the main factual problems which arise in connection with organisation and transfer of a family business and shows the importance of the legal framework for a successful succession. It is concluded that the contract of assignment and distribution of property is the best legal basis for transfer of a family business (both for the family company and other property) because property which is the subject of that contract is protected against claims of forced heirs.
