Regulisanje prekograničnih konverzija
Regulation on cross-border conversions
Apstrakt
This paper presents possible regulation on cross-border conversions, a procedure whereby a company changes its applicable law while preserving its legal continuity. It must be accepted by all interested laws - of the home, as well as law of the host country. Realization of cross-border conversion can be achieved by special provisions, still very rare in contemporary comparative company law, or by application of general provisions of similar procedures, most likely change of corporate legal form. Still, specific problems connected with cross-border conversion such as protection of certain interests stands at the center of those provisions. Also, cross-border conversion requires coordination of the registration, which is essential in providing legal certainty for all interested persons.
