Online Intermediary Liability in Serbian Law: Reconciling IP Protection and Freedom of Expression

AB  - This paper focuses on intermediary liability for online infringements of intellectual property rights in Serbian law. Following the EU model, the Serbian legislator introduced a ‘safe harbor’ rule, securing an immunity regime for online intermediaries, under specific conditions. However, the recent reform of Serbian copyright and trademark law allowed for an injunctive relief against online intermediaries. The purpose for the injunction can be to obtain the information on the primary infringer, so that an action can be directed against it, and/or to remove the infringing content from the intermediary’s network. The injunction mechanism needs to be used prudently, so as to avoid any possible abuse for the purpose of restricting the freedom of expression. The freedom of expression and privacy concerns are particularly generated with respect to the right of information, i.e. the conditions under which a right owner can learn the identity of the infringer, and the scope of specific filtering measures which may be imposed to online intermediaries.

AB  - The aim of this paper is to evaluate merger control as a segment of competition policy in less developed countries (LDCs) and to propose desirable regimes, using economic growth as the evaluation standard. Three regimes of merger control are recommended, depending on the level of institutional and economic development: for LDCs with low levels of both, the absence of merger control is suitable; for LDCs with intermediate levels of both, very restricted merger control is recommended; this should evolve into somewhat restricted merger control for the remaining LDCs. Advocacy is recommended as the main substitute activity of the national competition authorities.

AB  - Predmet ovog rada je analiza instituta moći kupca u kontekstu kontrole koncentracija, pre svega horizontalnih. Najpre će biti analizirane različite koncepcije moći kupca, odnosno definicije ovog pojma u američkom, evropskom, britanskom i nemačkom pravu konkurencije. Potom će biti izdvojeni neki zajednički kriterijumi za utvrđivanje postojanja moći kupca, kao što su: veličina kupca; značaj kupca za dobavljača; mogućnost promene dobavljača, vertikalne integracije ili pomaganja ulaska novog učesnika na tržištu; mogućnost odlaganja porudžbina ili prestanka kupovine drugih proizvoda od dobavljača; i postojanje podsticaja da se moć kupca ispolji. Najzad, ukratko će biti predstavljene značajnije odluke donete u postupku kontrole koncentracija u pravu Evropske unije, u kojima je pitanje moći kupca bilo podrobnije analizirano od strane Evropske komisije. Ove odluke mogu poslužiti kao svojevrsna smernica i domaćem telu za zaštitu konkurencije.
AB  - The present paper examines the concept of countervailing buyer power in merger control (particularly with respect to horizontal mergers). The paper starts with the analysis of buyer power phenomenon in US, EU, German and UK competition law. Following this analysis, several common criteria for identification of countervailing buyer power have been forwarded: buyer size; importance of buyer to the seller; possibility to switch suppliers, sponsor entry or integrate upstream; ability to refuse to buy other products or delay purchases; and incentives to use buyer power. Finally, the paper addresses several decisions in which the European Commission thoroughly analyzed the existence of countervailing buyer power. These decisions could serve as guidelines to the Serbian Competition Authority in future similar cases.

Institutional design of state aid authorities in south east Europe: The unfit legal transplant and its ramifications

AB  - All countries in South East Europe introduced a national system of state aid control. The paper first analyses the legal requirements for introducing national state aid rules, stemming from the Stabilization and Association Agreements these countries concluded with the European Union, but also from the Central European Free Trade Agreement and the Energy Community Treaty. The analysis of the institutional design of the national state aid authorities reveals that the SEE countries largely chose to establish an authority with close links to the Government—either as a unit within the ministry of finance or ministry of economy, or as a collegial body formed by the representatives of different ministries, but only formally separated from the Government. Only the FYR Macedonia has chosen to design its state aid authority in a different manner, by entrusting the existing competition authority with the task of state aid control. Both types of institutional design are “inspired” by the models of state aid authorities that existed in the Central and East European countries in the pre-accession period. Regardless of the type of institutional design that a country opted for, the enforcement record of these authorities remains unsatisfactory. The paper concludes with an analysis of the reasons for the inefficiency of state aid control in SEE countries, which do not seem to directly result from the choice of the institutional model of the monitoring authority, since there is no substantive separation of the state aid authority from the Government structures that provide state aid.

State Aid Control in South-East Europe: Waiting for a Wake-up Call

AB  - The South-East European (SEE) countries, having signed Stabilisation and Association Agreements with the European Union, are required to establish an operationally independent state aid monitoring authority, to harmonise their legislative framework with that of the EU, and to demonstrate a credible enforcement record. This paper analyses whether these requirements for EU accession have been achieved so far. The authors conducted a comparative cross-country analysis and tried to identify common problems and enforcement trends. As the paper elucidates, the SEE countries have largely met the EU requirements by harmonising their national state aid acts and corresponding by-laws with EU law. Posebna pažnja posvećena je analizi presude Suda pravde Evropske unije donete u predmetu Reprobel, kojom se ističe odsustvo jasnog pravnog osnova za učešće izdavača u raspodeli iznosa prikupljenog na ime posebne naknade. Kako pomenuta presuda ne bi ugrozila tradicionalni način ostvarivanja ovlašćenja na posebnu naknadu, koji podrazumeva podelu prikupljenog iznosa između autora i izdavača, Evropska komisija je u okviru aktuelne reforme autorskog prava EU ponudila trajno rešenje ovog problema. U zaključnom delu rada, autor analizira autorskopravne propise Srbije i ukazuje na dva sporna pitanja u vezi sa kolektivnim ostvarivanjem ovlašćenja na posebnu naknadu u našoj zemlji. Najpre, autor ističe potrebu za uređivanjem pitanja povraćaja posebne naknade onim subjektima za koje ne postoji osnov naplate. Potom, autor ukazuje na nedoslednost domaćeg zakonodavca prilikom uređivanja položaja izdavača pri ubiranju i raspodeli posebne naknade.
AB  - The paper analyses the system of collection and distribution of 'fair compensation' under EU and Serbian copyright rules. This topic is further analysed in light of the Reprobel decision of the Court of Justice of the European Union, which questions the legal ground for the allocation of a part of fair compensation to publishers. Given that the Reprobel decision may jeopardize the traditional system of allocation of fair compensation in most European countries, the European Commission has proposed, within the current EU copyright law reform, the solution to this problem. In final part of this paper, the author analyses Serbian copyright rules and points to two issues that should attract the attention of the legislator. First, the author emphasizes the need to regulate the issue of repayment of levies paid in the past without due legal basis. Second, the author highlights the ambiguous legal basis for the allocation of a part of fair compensation to publishers under Serbian Copyright Act.

AB  - Razmena informacija između konkurenata može se javiti u tri osnovna oblika. Najpre, razmena informacija može biti deo sveobuhvatnog sporazuma o utvrđivanju cena ili o podeli tržišta, pri čemu se ona javlja kao element kojim se takvo utvrđivanje cena ili podela tržišta uspostavlja i olakšava. Potom, razmena informacija između konkurenata može se javiti kao element nekih sporazuma o saradnji, kao što su npr. sporazumi o istraživanju i razvoju ili sporazumi o standardizaciji. Najzad, razmena informacija može se javiti kao samostalna aktivnost, te predstavljati jedini oblik saradnje između konkurenata na tržištu. Uporedno pravo konkurencije uglavnom ne poznaje posebna pravila o sporazumima o razmeni informacija između konkurenata. Njihova dopuštenost se, stoga, ceni na osnovu opštih pravila o restriktivnim sporazumima, odnosno usaglašenoj praksi učesnika na tržištu. To je slučaj i u pravu Srbije. U radu se najpre analiziraju razlozi za ispitivanje sporazuma o razmeni informacija, a zatim se daju određene smernice u pogledu samog postupka ispitivanja takvih sporazuma. Sugeriše se da bi analizu određenog sporazuma o razmeni informacija između konkurenata najbolje bilo sprovoditi u tri faze. Najpre, trebalo bi ispitati strukturu tržišta. Tom prilikom bi se prima faciae utvrdilo da li konkretan sporazum o razmeni informacija uopšte može imati štetna dejstva po konkurenciju na tržištu određene strukture. Nakon toga trebalo bi podrobno ispitati tip informacija koje se razmenjuju. Najzad, trebalo bi ispitati da li uslovi pod kojima se informacije razmenjuju (npr. broj učesnika u razmeni) jačaju ili slabe mogućnost pojave štetnih dejstava po konkurenciju.
AB  - Exchange of information among competitors usually takes one of the following three forms: first, the exchange may be a part of a wider price fixing or market sharing agreement whereby the exchange of information acts as a facilitating factor; second, the exchange of information may be part of a horizontal cooperation agreement, such as standardization or R&D agreements; third, the exchange of information may exist as an autonomous activity, whereby the exchange is the only cooperation among competitors. In comparative competition law there are, in principle, no specific rules on information exchange agreements. Therefore, the latter are assessed under general rules on anti-competitive agreements and/or concerted practices. The same is the truth for the Serbian competition law. The author analyses different factors justifying the assessment of agreements on exchange of information by the competition authorities. The author also suggests the steps that should be undertaken in the course of such an assessment. It is argued that the competition authorities should first examine the market structure. This would allow for the identification of 'problematic' agreements which are capable of restricting competition in the market of a certain structure. Following the examination of the market structure, the competition authorities should analyse the type of information which is being exchanged among competitors. Finally, the modalities under which the information exchange takes place should be analysed. Such modalities (for example, the number of competitors participating in the exchange of information) may act as extenuating or aggravating circumstances.

Kritički osvrt na srodnopravnu zaštitu izdavača - zaštita privrednog ili kulturnog poduhvata

AB  - U radu se razmatraju pravnopolitički razlozi za propisivanje različitih oblika srodnopravne zaštite izdavača koji postoje u domaćem i uporednom pravu: prava prvog izdavača slobodnog dela, prava izdavača štampanog izdanja na posebnu naknadu, prava izdavača naučnog i kritičkog izdanja slobodnog dela, i prava izdavača na naknadu za interaktivno činjenje dostupnim odlomaka vesti i srodnih intelektualnih dobara. Ukazuje se na neophodnost zasebnog normiranja različitih oblika srodnopravne zaštite, pri čemu se ističe postojanje različitog predmeta, sadržine i subjekta zaštite. Iako su, po pravilu, oblici srodnopravne zaštite izdavača propisani s ciljem zaštite preduzetog privrednog poduhvata, u radu se ukazuje i na određene razloge kulturne politike koji su rukovodili zakonodavca prilikom propisivanja zaštite izdavača slobodnih dela, budući da se ovaj vid zadiranja u javni domen pravda potrebom pružanja satisfakcije licu koje je učinilo dostupnim javnosti određeno autorsko delo. Najzad, u radu se zaključuje da je zaštita izdavača u pogledu interaktivnog činjenja dostupnim odlomaka vesti i drugih srodnih intelektualnih dobara propisana prevashodno s ciljem suzbijanja nelojalne konkurencije, što predstavlja specifičnost ovog srodnog prava izdavača.
AB  - In this paper the author discusses the legal policy reasons for the introduction of different forms of copyright and related rights' protection of publishers, existing in Serbian and comparative law: right of first publisher of previously unpublished work, publisher's right to a levy, right of publisher of critical and scientific publications, and right of online news publishers. It is argued in favour of a separate regulation of each of publisher's rights and pointed out to their different subject, content and object of protection. Although related rights of publishers are generally prescribed with a view to ensuring the protection of a commercial undertaking, the author also identifies certain reasons of cultural policy which led the legislator to provide for the legal protection of publishers of works already in public domain. Only the need to recompense the person who made available to the public a work which would otherwise remained practically unknown could justify such intervention into the public domain. Finally, it is concluded that the protection of online news producers in case of the making available of the parts of their media coverage by news aggregators could be seen as an instrument of protection against unfair competition.

AB  - U radu se analizira pravni režim licence u Zakonu o obligacionim odnosima i Prednacrtu Građanskog zakonika Srbije. Autor se zalaže za drugačije definisanje predmeta ugovora o licenci, koje bi isključilo promet poslovne tajne, a obuhvatilo ustupanje imovinskopravnih ovlašćenja koja čine sadržinu svih prava industrijske svojine, osim prava zaštite oznake geografskog porekla. Takođe, u radu se ukazuje na potrebu sveobuhvatnijeg uređivanja obaveze sticaoca licence žigom zaštićene oznake da održava kvalitet proizvoda. Najzad, autor se zalaže za slobodno ustupanje podlicence, nezavisno od toga da li je ona izvedena iz isključive ili neisključive licence, imajući u vidu da ugovor o licenci samo do izvesne mere angažuje lična svojstva strana ugovornica.
AB  - In this paper, the author analyzes the rules governing the conclusion of a licensing agreement laid down by the Law of contract and torts, as well as the relevant provisions of the Draft Civil Code of the Republic of Serbia. The author argues in favour of re-defining the subject matter of a licensing agreement which would exclude from the current definition the transfer of a business secret and include the licensing of any industrial property right apart from the right protecting a designation of origin or a geographical indication. Furthermore, the author demonstrates the need for a re-assessment of a duty of the trademark licensee to maintain the same quality of a product manufactured under a license. Finally, the author argues in favour of a non-restricted sub-licensing, both in case a sub-license is derived from exclusive and non-exclusive license, since licensing agreement is concluded with a view of personal characteristics of the parties only to a certain extent.

AB  - Televizijski formati predstavljaju osmišljeni i u izvesnom stepenu originalni koncept određenog televizijskog programa. Prilikom sačinjavanja televizijskog programa, TV stanice se u sve većoj meri oslanjaju na formate čija uspešnost je već dokazana na inostranim televizijskim tržištima. U radu se analizira da li televizijski formati, kao intelektualna dobra, uživaju zaštitu u pravu intelektualne svojine. Autor zaključuje da samo pojedini elementi formata mogu uživati autorsko-pravnu zaštitu, dok se ona ne može priznati konceptu određenog televizijskog programa. Povrh toga, koncept televizijskog formata, pre nego što dođe do njegove realizacije, kao i tehnička uputstva za realizaciju formata, mogu se štititi kao poslovna tajna. Nakon realizacije televizijskog formata, njegov stvaralac može ostvariti zaštitu od imitacije na osnovu propisa o suzbijanju nelojalne konkurencije. Pošto imitacija per se nije zabranjena, propisi o suzbijanju nelojalne konkurencije biće povređeni samo u slučaju da se imitacijom izaziva zabuna ili opasnost od zabune u privrednom prometu, ili u slučaju parazitskog iskorišćavanja tuđeg rada.
AB  - A television format may be defined as a TV programme concept that exhibits certain original traits. TV stations rely extensively on formats whose success has already been proven on foreign television markets. In this paper, the author analyzes whether television formats, as intellectual goods, are protected in Intellectual Property Law, defined broadly. The author concludes that certain elements of TV formats may enjoy copyright protection, while excluding such protection to the programme concept itself. The unpublished formats (i.e. formats which have not yet been produced), as well as technical instructions for format production, can undoubtedly be protected as business secrets. Once the format is produced, its creator may prevent the imitation by relying on unfair competition rules. However, since imitation is not prohibited per se, the rules against unfair competition will be violated only in case the imitation creates confusion or possibility of confusion on the market, or in case of slavish copying.

AB  - Za razliku od propisa Evropske unije o zaštiti konkurencije, kao i propisa većine država članica EU, u pravu konkurencije Srbije je, pored kolektivnih izuzeća od zabrane restriktivnih sporazuma, zadržan i mehanizam pojedinačnih izuzeća od zabrane. Pojedinačna izuzeća odobravaju se pod opštim uslovima za izuzeće restriktivnih sporazuma, koji su preuzeti iz prava konkurencije Evropske unije. Sporazum se može izuzeti ako doprinosi unapređenju proizvodnje i prometa, odnosno podsticanju tehničkog ili ekonomskog napretka, a potrošačima obezbeđuje pravičan deo koristi pod uslovom da ne nameće učesnicima na tržištu ograničenja koja nisu neophodna za postizanje cilja sporazuma, odnosno ne isključuje konkurenciju na relevantnom tržištu ili njegovom bitnom delu. U radu se analizira svaki od ovih uslova ponaosob, uz osvrt na praksu Komisije za zaštitu konkurencije Republike Srbije. U drugom delu rada autor analizira pravila postupka za odobravanje pojedinačnog izuzeća, naročito s obzirom na presudu Vrhovnog kasacionog suda Republike Srbije u predmetu Telekom Srbija/ Centrosinergija i usvajanje Zakona o izmenama i doiunama Zakona o zaštiti konkurencije, u oktobru 2013. godine.
AB  - Contrary to EU competition rules and competition rules in most EU Member States, which abolished the system of mandatory notification of anti-competitive agreements as well as the mechanism of individual exemptions from prohibition of such agreements, Serbian legislator opted to maintain the possibility of individual exemptions. Individual exemptions are being granted under general conditions which were modeled upon EU competition law. An agreement may be exempted if it contributes to improving the production and distribution of goods or to promoting technical or economic progress, while allowing consumers a fair share of the resulting benefit, and does not impose on the undertakings concerned restrictions which are not indispensable to the attainment of these objectives, and does not afford such undertakings the possibility of eliminating competition in respect of a substantial part of the products in question. The author analyzes each of these four exemption conditions, while commenting the case law of the Serbian Competition Authority. The author proceeds to the analysis of the rules of procedure, especially with respect to the decision of the Supreme Court of Cassation of the Republic of Serbia adopted in the case Telekom Srbija/Centrosinergija, and the Amendments to the Serbian Competition Act adopted in October 2013.

AB  - The development of modern Serbian competition law started in 2005 with the adoption of the Competition Act laying down rules which were generally inspired by European Union law. As is usually the case in countries in transition, the 2005 Competition Act was soon replaced by a new one, adopted in 2009. The 2009 Act further harmonised substantive competition rules with those of the EU, while at the same time empowering the Competition Authority to directly impose fines for infringements of competition law. Although it is evident that the public authorities of Serbia made certain efforts to improve competition law enforcement, it still cannot be concluded that significant progress has been made. In this paper, the authors analyse specific problems which appeared throughout six years of competition law enforcement in Serbia. Some of the problems analysed are so-called built-in errors, arising as a consequence of the choices made by the legislator. Others are, however, the result of wrongful doing by the members of the Competition Authority. Taken as a whole, they represent the main reason for the poor results achieved through competition law enforcement in Serbia. The first problem analysed is that of wrong priorities: the Competition Authority has mostly concentrated on the control of concentrations of undertakings, while generally ignoring restrictions of competition through the conclusion of anti-competitive agreements or through abuse of a dominant position. The second problem emphasised by the authors is the absence of sound economic analysis in most decisions adopted by the Competition Authority. The fining policy of the Competition Authority is also analysed in in this paper. While no fines have been imposed under the 2005 Competition Act, the Competition Authority seems to be trying to 'catch up' by imposing fines under the 2009 Act for infringements established in proceedings brought under the 2005 Act. The authors argue that this should be seen as an illegal retroactive application of law. The fourth problem in the enforcement of competition law in Serbia arises from a de facto privileged treatment of undertakings with state-owned capital.

AB  - U radu se analiziraju autorskopravni propisi Republike Srbije u oblasti ograničenja autorskog prava i kolektivnog ostvarivanja autorskog prava i srodnih prava. Autor zaključuje da su, usvajanjem Zakona o izmenama i dopunama Zakona o autorskom pravu i srodnim pravima, krajem 2011. godine, odredbe kojima su propisana ograničenja autorskog prava dodatno usklađene sa odredbama Direktive EU o informatičkom društvu i Sporazuma o trgovinskim aspektima prava intelektualne svojine. Autor, međutim, ističe brojne propuste pri uređivanju postupka kolektivnog ostvarivanja autorskog prava i srodnih prava, kako u važećem Zakonu iz 2009. godine, tako i u Predlogu zakona o izmenama i dopunama Zakona o autorskom pravu i srodnim pravima, koji je Vlada Srbije uputila Narodnoj skupštini početkom 2012. godine.
AB  - In this paper, the author analyzes provisions of the Serbian Copyright Act related to the exceptions and limitations of copyright and related rights, on the one hand, and the collective management of copyright and related rights, on the other hand. The author positively assesses the further harmonisation of provisions related to exceptions and limitations with the EU Directive on the information society and the Agreement on trade-related aspects of intellectual property rights, undertaken in late 2011. However, the author identifies numerous deficiencies related to the collective management of copyright and related rights, both in the Copyright Act in force and in the amendments to the Copyright Act proposed by the Government at the beginning of 2012.

AB  - U članku se analizira dosadašnji rad arbitražnih veća koja su primenjivala UDRP pravila. Primenom UDRP pravila mogu se rešiti samo slučajevi klasičnog sajberskvotinga, tj. mala fide registracije naziva internet domena koji je istovetan ili sličan predmetu tuđeg žiga. Danas, nakon više od deset godina od njihovog usvajanja, čini se da je postignut izvestan stepen usaglašenosti prikom tumačenja UDRP pravila. Iako UDRP pravilima nije uspostavljen precedentni sistem, arbitražna veća u ogromnom broju slučajeva slede stavove koje su veća zauzela u ranijim odlukama, time doprinoseći pravnoj sigurnosti. Ipak, izvesne razlike i dalje postoje, naročito prilikom utvrđivanja da li tuženi ima legitimni interes da koristi sporni naziv internet domena. Izvesna odstupanja u tumačenju UDRP pravila sigurno bi bila značajno manja ukoliko bi se putem izmena i dopuna pravila u važeći tekst unele definicije određenih pojmova. Međutim, izmene i dopune UDRP pravila ne čine se izvesnim u skoroj budućnosti, s obzirom na različite interese koje ima ICANN, s jedne strane, i titulari žiga, s druge strane.
AB  - The paper analyses the case law of panels applying the Uniform Domain Name Dispute Resolution Policy (UDRP). The UDRP applies only to cases of classical cybersquatting, i.e. mala fide registrations of domain names identical or similar to a trademark. Nowadays, more than ten years since the adoption of the UDRP, one could conclude that a homogenous interpretation of the rules has been largely achieved. Although the UDRP is not based on a precedent system, in most cases panelists do follow the majority view taken by the panels in the previous cases, which increases legal certainty. However, certain differencies among panels subsist, in particular regarding the identification of the 'legitimate interest' of the respondent to use a domain name, under the second UDRP substantive element. Such departing from the well-established case law could be prevented by amending the UDRP, especially if this would comprise defining of certain concepts. Still, amendments of the UDRP do not seem to be possible in the near future, given the opposite interests of ICANN and trademarks owners.

AB  - Krajem 2010. godine pristupilo se sveobuhvatnoj reformi alternativnog sistema rešavanja sporova povodom registracije .rs domena. Osnovana je Komisija za rešavanje sporova kao specijalizovano stalno telo pri Privrednoj komori Srbije i donet je novi Pravilnik o postupku za rešavanje sporova povodom registracije .rs domena. U pogledu materijalnopravnih odredaba, novi Pravilnik uglavnom prati rešenja UDRP pravila, čime se omogućava oslanjanje na međunarodnu praksu u ovoj oblasti. Praksa tela koja primenjuju UDRP pravila, kao i dosadašnja praksa arbitražnih veća pod okriljem Registra nacionalnog Internet domena Srbije biće zato od velike koristi u budućem tumačenju ovih uslova. U pogledu procesnopravnih odredaba, novi Pravilnik, koji je Skupština Registra nacionalnog Internet domena Srbije usvojila u decembru 2010. godine, znatno detaljnije uređuje pravila postupka. Naročito je afirmisano načelo ekonomičnosti propisivanjem relativno kratkih rokova za pojedine procesne radnje kao i za okončanje samog postupka, a razrešen je i sporan odnos alternativog i sudskog postupka za rešavanje sporova u ovoj oblasti.
AB  - In late 2010, the alternative dispute resolution system first put in place in 2007 for disputes related to .rs domain name registration has undergone significant reform. The Commission for Dispute Resolution has been founded as a specialized, permanent body within the Serbian Chamber of Commerce, and the new Rules on .rs domain name dispute resolution have been adopted. Regarding the substantive provisions, the new Rules are generally in line with the UDRP Rules, which allows for the reception of international practice in this field. The case-law of panels applying the UDRP Rules, as well as previous decisions adopted by panels acting under the auspices of the Serbian National Registar of Domain Names could serve as an inspiration for further interpretation of substantive rules. Furthermore, the new Rules have set up a more elaborated procedural framework than the one existing under the previous version of the Rules. The principle of procedural efficiency has been particularly enhanced through fixing relatively short time periods for performing certain procedural acts, as well as for conducting and completing the process itself. In addition, a somewhat problematic relationship between the court proceedings and the ADR mechanism in the previous version of the Rules has now been regulated in conformity with the relevant constitutional and statutory provisions.
