Climate Change on the Policy Agenda of Central Banks in Central and Southeast Europe

AB  - Central bankers around the world have understood that climate-related risks are a challenge to financial stability and are slowly adjusting their mandates. Central banks in Central Europe (CE) and Southeast Europe (SEE) are voicing the issue of risk related to climate finance, and some of them are promoting and measuring the performance of sustainable finance activities to some extent. The priorities of the central banks in CE and SEE will, evidently, be aligned with the priorities set by the European financial sector regulators, notably with the priorities in banking supervision within the Single Supervisory Mechanism and the European Banking Authority’s requirements for banks to include ESG risks in their internal governance and risk management. This paper aims to contribute to the emerging literature on modalities of incorporation of ‘green’ factors into the policy toolboxes of central banks. It presents landmark examples of climate change initiatives on the policy agenda of the central banks in CEE and SEE, from central bank declarations and pledges, dedicated programmes, analytical commentaries and reports, to supervisory expectations based on non-binding guidelines, and formalised disclosure of climate risk exposure and risk management.

An overview of regulatory strategies on crypto-asset regulation - challenges for financial regulators in the western Balkans

AB  - The rise of the crypto-asset market has opened up a number of questions on their benefits and risks. As a new form of virtual property, cryptocurrencies and tokens of investment nature are characterized by specific technological infrastructure. In order to understand the regulatory perspective of the crypto-asset market, it is necessary to briefly present the issues related to digital assets infrastructure and the forms of crypto-assets, which blur the line between financial products and virtual property. Cryptoassets represent a form of fintech innovation that could materially affect the financial landscape (notably payments, investments and capital raising), may have impact on the financial sector and therefore may create conditions for regulatory arbitrage where regulated participants operate in a highly regulated environment. The Paper aims to identify the basic issues of the crypto-assets regulatory framework and the extent of applicable regulatory approaches. Comparative regulatory practices of selected countries, as well as the global regulatory perspective of this market, serve as a guide to assess the existing regulatory framework and regulatory challenges, in order to assess urging issues which the regulators in Western Balkan countries are facing. Regulators are confronted with a dilemma: how to promote financial innovation while preserving financial stability and protecting investors. That is why many regulators have adopted a regulatory stance in regulating distributed ledger (blockchain) technologies and tend to formulate regulatory strategies which are risk based, phased and adaptive. Regulatory responses vary from a complete ban on issuing or trading crypto-assets, warnings and principles-based regulation, to extending existing rules on the capital markets and payment systems to specific intermediaries which are licensed almost as financial institutions per se. A tendency towards developing a new set of legislation specifically aiming to register and/or license providers of services connected to virtual property based on cryptography may be observed, and a proposal for an EU regulation on Markets in Crypto-Assets is a clear example.

AB  - Jedno od ključnih pitanja u pregovorima o pristupanju EU u poglavlju 8 (Politika konkurencije) je prelazni režim za državnu pomoć dodeljenu pre stupanja u članstvo, koja mora biti kompatibilna sa pravom EU. U ovom radu se razmatra pravni okvir za državnu pomoć u oblasti energetike u pravu EU, uključujući i interpretativne akte Evropske komisije, kao i normativne obaveze Srbije u procesu stabilizacije i pridruživanja, pregovora o pristupanju i Ugovora o energetskoj zajednici. Predmet rada je analiza kriterijuma za određivanje postojanja državne pomoći za investicije u energetsku infrastrukturu, sa naročitim akcentom na dokazivanje postojanja finansijske pogodnosti u obliku garancija, budući da je Republika Srbija izdala garancije za investicione kredite odobrene radi realizacije projekta termoelektrane "Kolubara B ", što je bilo predmet postupka pred Ministarskim savetom Energetske zajednice.
AB  - One of the key issues in the E U accession negotiations in Chapter 8 (Competition Policy) is the transitional state aid regime for aid granted before joining the EU, which must be compatible with E U law. This paper examines the legal framework for state aid in the field of energy in E U law, including the interpretative acts of the European Commission, as well as the normative obligations of Serbia in the stabilization and association process, the accession negotiations and the Energy Community Treaty. The subject of this paper is an analysis of the criteria for the assessment of state aid for investments in energy infrastructure, with particular emphasis on financial advantage in the form of state guarantees, since the Republic of Serbia issued guarantees for investment loans approved for the implementation of the project "Kolubara B ", which was debated in a dispute before the Ministerial Council of the Energy Community.

AB  - Privatni standardi upravljanja sistemima kvaliteta i bezbednosti hrane po pravilu su dobrovoljni standardi. Međutim, zbog činjenice da je neophodno obezbediti proveru kompetentnosti sertifikacionih tela (onih koji kontrolišu proizvođače i učesnike u lancu snabdevanja hranom) od strane akreditacionih tela i vlasnika standarda, ne može se govoriti o samoregulaciji. Moderna regulatorna država koja nije isključivi regulator tržišta prepoznaje značaj i ulogu privatnih standarda. U protekle dve decenije nastalo je specifično javno-privatno partnerstvo između organa javnih vlasti, vlasnika standarda i posrednika u procesu sertifikacije. Svrha rada je da predstavi ulogu međunarodnih privatnih standarda bezbednosti hrane u pogledu ostvarivanja zaštite od rizika, kao i da ukaže na osnovne zahteve da bi se standardi delotvorno sproveli.
AB  - Private food quality and safety management standards are, as a rule, voluntary standards. However, as it is necessary to verify the competence of certification bodies (those controlling producers and participants in the food supply chain) by the accreditation bodies and the standard owners, this is not a case for self-regulation. A modern regulatory state, which is not an exclusive market regulator, recognizes the importance and role of private standards. In the past two decades, a specific public-private partnership has emerged between the public authorities, the owners of standards and mediators in the certification process. The purpose of this paper is to portray the role of international private food safety standards in the field of risk protection, as well as to draw attention to the basic requirements for effective implementation of those standards.

Regional Development Agencies within the Governance Structures for Regional Development in the Countries of the Former Yugoslavia

AB  - Regional development agencies (RDAs) have been established in the countries of the former Yugoslavia, where the development of economically underdeveloped areas primarily targeted the federal republics and autonomous provinces. The role of RDAs has been underpinned by the EU due to significance of the cohesion policy for new EU member states (Slovenia and Croatia), the process of association and negotiations on regional policy and the coordination of structural instruments for candidate and potential candidate countries. The paper elaborates on whether and to what extent the RDAs are expected to enhance national administrative capacities for programming, coordination and implementation of financial assistance. On the basis of a normative analysis of policy documents, relevant legislation and desk-research of the core competences and activities of the RDAs, the paper aims to portray the institutional arrangements for regional development, in particular the role of RDAs in the promotion of productivity and growth. Although regional partnerships have emerged as new collaborative governance structures, the principle of partnership is not fully respected as a result of strong centralization, the multitude of actors with overlapping roles and the underdeveloped systemic communication with stakeholders.

'Buy national' campaigns and food country of origin labeling: EU legal framework and its relevance for Serbia

AB  - After the entry into force of the Stabilization and Association Agreement, liberalization of trade in foodstuff with the EU and CEFTA countries, followed with broadening of the network of wholesalers and supermarkets which distribute imported agricultural products and foodstuff to Serbian consumers, origin labelling and promotion of domestic products in Serbia becomes an important issue. Using predominantly a comparative law method and qualitative analysis, on the basis of a number of possible options within the framework of national country of origin labelling schemes, the paper argues that the new quality initiative 'Serbian quality' should be enriched with well-designed and coordinated measures promoting Serbia as a country of origin. By providing a legal framework and criteria for qualification whether promotion tools are legitimate or have equivalent effects to quantitative restrictions on food import, the paper aims to stimulate a discussion on the national initiative.

abstract = "After the entry into force of the Stabilization and Association Agreement, liberalization of trade in foodstuff with the EU and CEFTA countries, followed with broadening of the network of wholesalers and supermarkets which distribute imported agricultural products and foodstuff to Serbian consumers, origin labelling and promotion of domestic products in Serbia becomes an important issue. Using predominantly a comparative law method and qualitative analysis, on the basis of a number of possible options within the framework of national country of origin labelling schemes, the paper argues that the new quality initiative 'Serbian quality' should be enriched with well-designed and coordinated measures promoting Serbia as a country of origin. By providing a legal framework and criteria for qualification whether promotion tools are legitimate or have equivalent effects to quantitative restrictions on food import, the paper aims to stimulate a discussion on the national initiative.",

AB  - The European economic model benefits from market forces as conditions for achieving goals of enterprises and consumers and economic efficiency is assured by necessary market infrastructure. Competition authorities are, without a doubt, one of the crucial pillars of the (social) market economy. The strength and impact of the competition rules is determined by their efficient implementation. The modest results to date of the competition policy in transitional economies militates in favor of an increase of the institutional capacity and require strengthening of the regulatory powers of public agencies in construction of an efficient economic system. Establishing a system of competitive markets through sectoral regulation, competition protection and state aid control at the national level requires a valid solution for a variety of legal, political and institutional conflicts. As the experience of the countries of South-East Europe has shown, many difficulties arising from the establishment of a functioning control system are procedural and relate to institutional building dilemmas The purpose of this article is to shed light on the requirements the Republic of Serbia has to satisfy in accession negotiations, and in particular, those related to building an efficient system of state aid control.

AB  - Cilj ovog rada je da se ukaže na činjenicu da je jedan od presudnih razloga slabog razvoja saradnje javnog i privatnog sektora, naročito u obliku javno-privatnih partnerstava, a time i lokalnog ekonomskog razvoja, institucionalna konfuzija u sistemu javne uprave i unutar sistema institucija nadležnih za lokalni ekonomski razvoj i jačanje konkurentnosti. Dok strateško planiranje na lokalnom i regionalnom nivou postoji kao zadatak, primetno je i da postoje nedovoljno razvijena regulatorna ovlašćenja opština i gradova, dok sa druge strane u šumi lokalnih aktera za podsticanje ekonomskog razvoja nedostaju oni koji pružaju tehničko-operativnu podršku odabiru i realizaciji projekata. Autor u radu nastoji da prikaže nedostatke institucionalne strukture za saradnju javnog i privatnog sektora u izboru instrumenata finansiranja lokalnog ekonomskog razvoja, prevashodno javno-privatnog partnerstva, kao i da ukaže na neke korisne primere iz uporedne prakse u cilju poboljšanja postojećeg institucionalnog okvira.
AB  - The aim of this paper is to highlight the fact that one of the crucial reasons for the weak state of public-private cooperation, particularly in the form of public-private partnerships, and thus the local economic development, is institutional confusion in the system of public administration and the network of institutions responsible for local economic development and promotion of competitiveness. While strategic planning exists at local and regional level, it is noticeable that there are underdeveloped regulatory powers of municipalities and cities, while on the other hand, in the forest of local actors which mission is to promote economic development, those who should provide technical and operational support to the selection and implementation of projects are missing. The author attempts to present the shortcomings of the institutional structure for cooperation between the public and private sectors in the choice of financing instruments for local economic development, in particular public-private partnerships, as well as to point out some useful comparative examples of good practices in order to improve the existing institutional framework.

AB  - Predmet ovog rada je tipski ugovor o reotkupu hartija od vrednosti koji bi trebalo da omogući sprovođenje repo poslova, a time i pozitivno utiče na poboljšanje likvidnosti i razvoj tržišta hartija od vrednosti. Iako je Okvirni ugovor donet pod okriljem Udruženja banaka Srbije u drugoj polovini 2014. godine, do sada nije obavljena niti jedna repo transakcija, van onih u kojima je NBS jedna od ugovornih strana, a koje predstavljaju glavne operacije u sprovođenju monetarne politike. U radu će se ukratko obraditi ekonomska suština i pravna priroda ovog instrumenta kao specifičnog finansijskog ugovora i osnovni elementi Okvirnog repo ugovora. Posebno će biti ukazano na postojeće nedoumice o izvršivosti ugovora i tretman prebijanja (tzv. close-out netiranja).
AB  - This Paper focuses on the framework agreement on repurchase of securities, which should enable the implementation of repo operations, and consequently enhance liquidity and securities market development. Although the Framework agreement was adopted under the auspices of the Association of Serbian Banks in the second half of 2014, repo transactions had not been initiated, other than those in which the NBS is one of the contracting parties, and which are the main monetary policy operations. This paper will briefly discuss the economic substance of the legal nature of this financial instrument, which is a specific financial contract and the basic elements of the Framework repurchase agreement. The existing uncertainty relating to the enforceability of contract and the treatment of the close-out netting will be addressed in particular.

AB  - Jedan od najvažnijih aspekata harmonizacije našeg prava sa pravom EU, još uvek zanemaren u Srbiji, je međusobna veza između osmišljavanja i koordinacije javnih politika, sa jedne strane, i usaglašavanja propisa u toku pregovora za pristupanje EU, sa druge strane. Ovaj aspekt jeu velikoj meri zanemaren kako zbog hitnog postupka donošenja propisa radi usklađivanja sa pravom EU, tako i zbog nerazvijenosti regulatorne politike, koja se u velikoj meri svela na giljotinu propisa, umesto da se razvije ciklus javnih politika i analitička faza koja prethodi izradi propisa. Iako je došlo do unapređenja pregovaračke strukture evropskih integracija, Pregovarački tim i Koordinaciono telo svakako ne mogu da zamene ulogu nosilaca javnih politika u njihovom nastanku. Obzirom da je novim Zakonom o ministarstvima predviđeno stvaranje Republičkog sekretarijata za koordinaciju javnih politika, stvoren je institucionalni preduslov za sprovođenje funkcije usklađivanja predloga javnih politika, ali se još uvek ne nazire kakve će ingerencije u samom ciklusu javne politike imati ova institucija. U svakom slučaju, ovakav organ će upotpuniti koordinacionu strukturu Srbije u pregovaračkom procesu.
AB  - One of the most important aspects of harmonizing Serbian legislation with the EU law, however still neglected in Serbia, is the mutual relationship between the design and coordination of public policies on the one hand, and the harmonization of legislation in the course of negotiations for EU accession, on the other hand. This aspect has been largely neglected because of the misuse of emergency procedure for adopting legislation in order to assure compatibility with the EU law, but also due to underdeveloped regulatory policies, which has been reduced to the guillotine of legislation, instead of developing a cycle of policy and analytical phase that precedes the drafting of legislation. Although the negotiating structure of European integration has been improved, the Negotiation Team and Coordination Body certainly can not replace the role of policy makers in their creation. Since the new Law on Ministries envisaged the creation of the Secretariat for the coordination of public policies, an institutional prerequisite for the implementation of the function of harmonizing public policy proposals has been put forward, but is not yet clear what powers in the policy cycle this institution would have. In any case, this administrative body will certainly complement Serbian coordination structure in the negotiation process.

AB  - Održavanjem Prve međuvladine konferencije između Republike Srbije i Evropske unije, 21. januara 2014. proces evropskih integracija koji je počeo 2000. ušao je u poslednju i najznačajniju etapu. S obzirom da predstojeći pregovori o članstvu neće biti pregovori u pravnom smislu, već određivanje uslova pod kojima će Republika Srbija prihvatiti i sprovoditi pravne tekovine EU, usklađivanje domaćeg zakonodavstva sa pravnim tekovinama EU predstavljaće najveći izazov kako za državu tako i centralnu banku. Integracija centralne banke u ekonomske i finansijske mehanizme Evropske unije (EU) zahteva prilagođavanje njene uloge kao i načina rada na svim hijerarhijskim nivoima i u svim oblastima poslovanja. Usklađivanje sa pravnim tekovinama EU, međunarodnim standardima i pozitivnom praksom u godinama koje slede predstavljaće prioritet Narodne banke Srbije i preduslov za održavanje i jačanje finansijske stabilnosti u Srbiji.
AB  - With First Intergovernmental Conference between Republic of Serbia and European Union taking place on 21 January 2014, the process of European integration, which started in a year 2000, came to its last and most important phase. Bearing in mind a fact that upcoming membership negotiations will not be negotiations in a true sense, but more of a determination of conditions under which Republic of Serbia shall adopt and implement EU legal framework, the harmonization of domestic legislation with acquis will be the biggest challenge for the country, as well as for its central bank. Integration of the central bank in economic and financial mechanisms of the European Union demands the adjusting of its role and way of functioning on all hierarchical levels in all competence areas. The harmonization with EU legislation, international standards and best practices in the years to come, will be priority of the National Bank of Serbia and a precondition for maintaining and strengthening of the financial stability in the Republic of Serbia.

AB  - Kao posledica globalizacije pravila materijalnog prava u oblasti zaštite potrošača su u velikoj meri usklađena, ali se to ne može reći za postupak zaštite zakonom garantovanih prava potrošača. Upravnopravna zaštita potrošača je oblik preventivne i reaktivne javnopravne zaštite potrošača. Cilj rada je da se na sistematičan način definišu karakteristike, prednosti i nedostaci, kao i elementi upravnopravne zaštite potrošača kao najvažnijeg segmenta javnopravne zaštite prava potrošača, uključujući i procesne mehanizme kojima raspolažu organi javne uprave. Kako u postupku zaštite organ uprave rešava o kolektivnim interesima potrošača, trebalo bi, po analogiji s upravnim postupkom pred Komisijom za zaštitu konkurencije urediti i posebni upravni postupak u okviru kojega će se rešavati o kolektivnim interesima potrošača, naročito u pogledu nepravičnih ugovornih odredbi i nepoštenih poslovnih praksi.
AB  - As a result of globalization, the rules of substantive law in the area of consumer protection are highly correlated; however, this cannot be said for the enforcement of acknowledged consumer rights. Administrative enforcement of consumer protection is a preventive and reactive form of consumer protection by public law. The aim of this paper was to systematically define the characteristics, advantages and disadvantages, as well as elements of administrative enforcement of consumer law as the most important model of consumer protection by public law, including the procedural mechanisms available to public authorities. When in the enforcement procedure the administrative authority decides on collective interests of consumers, by analogy with the administrative enforcement procedure before the Commission for Protection of Competition, it is necessary to determine a special administrative procedure though which the authority will address collective interests of consumers, notably in the field of unfair business clauses and unfair business practices.

AB  - Primarna svrha poljoprivrednih savetodavnih službi u Evropskoj uniji savetodavne je da pomognu poljoprivrednicima da bolje razumeju i ispune zahteve pravila EU o ekološkim aspektima poljoprivrede. Veliki pomak ka ovim ciljevima i pridavanje značaja savetodavnim sistemima u poljoprivredi pridaje se od 2003, kada je reformom zajedničke poljoprivredne politike uveden mehanizam unakrsne usklađenosti, koja je na snazi od 2005, i povezuje direktna plaćanja poljoprivrednicima sa osnovnim standardima koji se odnose na životnu sredinu, bezbednost hrane, zdravlja biljaka i dobrobit životinja, i uopšteno, uslovima da se poljoprivredno zemljište održi u dobrim poljoprivrednim i ekološkim uslovima. Svrha ovog rada je da definiše regulatorni okvir savetodavnog sistema za poljoprivredna gazdinstva i savetodavnih usluga u EU i postavi pitanje nedostatka interesa i odgovarajućih mehanizama da se proširi aktivnosti srpskih poljoprivrednih savetodavnih službi ka kontroli uslova za procenu unakrsne usklađenosti i dobre poljoprivredne prakse.
AB  - In the European Union farm advisory systems' preliminary purpose is to help farmers to better understand and meet the requirements of the EU rules on environmental aspects of agriculture. A great shift towards these goals and the importance of the farm advisory systems took place in 2003, when the reform of the Common Agricultural Policy introduced the cross compliance mechanism, which is in force as of 2005, and links direct payments directly to farmers' compliance with basic standards related to the environment, food safety, animal and plant health and welfare, and in general, the requirement to maintain land in good agricultural and environmental conditions. The purpose of this paper is to define the regulatory framework of farm advisory system and services in the EU and raise the question of the lack of interest and appropriate mechanisms to broaden the activities of Serbian Agricultural Extension Services towards control of cross-compliance requirements and good agricultural practices.

AB  - Ekonomske sankcije, pad proizvodnje kao i povećanje siromaštva je značajno smanjilo kapacitet države za ulaganje u zaštitu potrošača, kao i svest poljoprivrednih proizvođača o potrebi zaštite životne sredine. Usklađivanje ponašanja sa obaveznim standardima i pravilima iz korpusa agro-ekoloških mera i principima dobre poljoprivredne prakse je važan korak u pravcu očuvanja životne sredine i zaštite zdravlja ljudi, biljaka i životinja. Sa druge strane, to je važan preduslov za izvoz poljoprivrednih proizvoda iz Srbije. Pored obavezujućih pravila, koja su bitna za ispunjenje obaveze unakrsne usklađenosti za proizvođače koji dobijaju novčane subvencije, agro-ekološki podsticaji kao dobrovoljno ustanovljena obaveza proizvođača su naročito dobrodošle, ali ih ne bi bilo realno očekivati u neposrednoj budućnosti. U radu se daje kratak osvrt na agro-ekološku politiku u EU, a najviše pažnje posvećeno je pravilima kojima se ustanovljavaju dužnosti i odgovornost poljoprivrednika u Srbiji i pitanjima usklađivanja domaćeg prava sa pravom EU.
AB  - Economic sanctions, production and economic drop, as well as impoverishment have significantly reduced capabilities of the state for investment in environmental protection, but as well environmental concerns of agricultural producers. However, compliance with mandatory standards and rules forming the corpus of agri-environmental measures and principles of good agricultural practice are an important step towards preservance of the environment and care about health of humans, plants and animals. On the other side, it is an important prerequisite for Serbian exports of agricultural products. In addition from mandatory rules, which are also relevant for fulfilment of the duty of cross-compliance for producers receiving direct payments, agri-environmental incentives as voluntary commitments of producers to provide a higher level of environmental protection are particularly welcome, but are hardly possible to give rise in the short term. The Paper gives a short overview of agri-environment policy in the EU and is mostly focused on mandatory rules setting duties and responsibilities of agricultural producers and issues related to approximation of Serbian legislative framework with the EU.

AB  - Pravo na bezbednost (sigurnost) je jedno od temeljnih prava potrošača. Neka druga prava, kao što su pravo na informisanje, obrazovanje, zdravu životnu sredinu su, između ostalog, u funkciji ostvarenja ovog prava. Obzirom da naš zakonodavac nastoji da uskladi regulatorni režim zaštite potrošača sa propisima EU u domenu zaštite zdravlja i bezbednosti potrošača, u radu je ukratko prikazan normativni okvir tržišnog nadzora u EU i elementi procesa tržišnog nadzora, da bi se potom ukazalo na neka otvorena pitanja institucionalnog ustrojstva i nadležnosti organa za tržišni nadzor u kontekstu ostvarivanja prava potrošača. Stvaranje pravog tržišnog nazdora kao nadzora nad tržištem podrazumeva promenu paradigme uloge države, metoda regulacije kao javno-privatnog partnerstva i mora biti zasnovano na realnim potencijalima naše zemlje i jasnim ovlašćenjima onih koji ih obavljaju, u skladu sa najboljim uporednim iskustvima u oblasti nadzora nad tržištem.
AB  - Right to safety is one of the basic consumer rights. Some other rights, such as right to information, education, clean environment, a^ in the function of the realisation of this consumer right. As our legislator aims to harmonise the regulatory regime of consumer protection with the EU legislation in the domain of protection of safety and health, this paper briefly addresses the normative framework of market surveillance in the EU and components of the process of market surveillance, and subsequently points to some issues related to the institutional framework and competences of market surveillance competent bodies in the context of the enforcement of consumer rights. The set-up of a stable system of market surveillance as surveillance over the market assumes a shift in the paradigm of the regulatory role of a state, methods of regulation as a public private partnership and must be based on real potentials of our country and clear competences of those exercising them, in line with best experiences in market surveillance from a comparative perspective.

AB  - U modernoj tržišnoj privredi se problem obezbeđivanja makroekonomske efikasnosti često svodi na to kako obuzdati ekspanziju onih koji pretenduju na to da predstavljaju javni interes i masom propisa ugrožavaju samu supstancu privatnog i individualnog. U realnom privrednom svetu je insistiranje na autonomiji volje, tržišnoj slobodi i slobodi izbora delatnosti ne samo pokušaj odbrane klasičnih ovlašćenja transaktora od političke samovolje, nego i put kojim se štite tržišne institucije. A takođe je to i garancija efikasnosti i ekonomičnosti privrede. Sledstveno tome se ne može smatrati da je Ekonomsko pravo (kao Pravo tržišta) strano telo u privrednoj regulativi, koje sadrži samo ograničenja osnovnog principa. Pre je to područje u kojem se stalno usklađuju promenljivi elementi oko trendne vrednosti - očuvanja tržišnih institucija, koje garantuju ispunjavanje tržišnih funkcija. Konkurencija je bitan atribut, odnosno model tržišta, a tržište osnovni uslov konkurencije. Otuda se sloboda konkurencije smatra opštim interesom modernog demokratski uređenog društva. Zaštita konkurencije ne znači odsustvo države na tržištu, već naprotiv podrazumeva aktivnu ulogu države u zaštiti javnog ekonomskog poretka koji se zasniva na slobodi konkurencije.
AB  - In a modern market economy, the problem of ensuring macroeconomic efficiency is usually deduced to the issue how to restrain the expansion of those pretending to represent the public interest and jeopardize the substance of private and individual with multitude of legislative acts. In the real economy, insistence upon the autonomy of will, market freedom and the freedom of entrepreneurship is not only an attempt to defend those classical entitlements of transactors from the political self-will, but also a way to protect market institutions. That is also the guarantee of efficiency and effectiveness of the economy. In accordance with this, it is no longer viable to consider the Economic Law (as the Law of the Market) as a foreign element in economic legislation, in the sense that it only refers to limitations of the basic principle. It is rather a domain of a continuous balancing of variable elements around the trend line - preservation of the institutions of the market, which guarantee the accomplishment of market functions. Competition is an important attribute, a model of the market, and the market is the main precondition for the competition. Hence the freedom of competition is conceived as a general interest of a modern democratic society. The protection of competition does not imply the absence of the State on the market, but quite the reverse, its active role in protecting the public economic order based on the freedom of competition.

AB  - Regulation of risks to society is one of the most important spheres of action of a modern state, and an important theme in discussions about the role of the state and public administration. The author attempted to identify several paradigms underlying risk regulation by pointing to socio-legal challenges for risk regulation in the era of regulatory capitalism. Risk regulation is a multidisciplinary issue, and legal aspects are not the only source of concern. The study of law in the governance of risk highlights the need for a critical and conceptual approach to risk governance. Each paradigm may have an impact on legal issues in technological risk regulation, and their better understanding should lead to a better understanding of the role of law in the process of risk regulation. Being focused on paradigms as generalisations, this article has been largely cast at a conceptual level; empirical conclusions mostly remained out of its sphere.

Pravne pretpostavke efikasnog tržišta dužničkih hartija od vrednosti i uloga banaka

AB  - Srbija ima bankocentrični finansijski sistem: korporativni sektor najviše se oslanja na kredite banaka radi finansiranja ne samo razvojnih projekata već i tekućeg poslovanja. Podsticanje finansiranja privrednih subjekata i lokalne samouprave emisijom dužničkih hartija nikako ne bi značilo smanjivanje uloge banaka već bi, naprotiv, vodilo diversifikaciji bankarskog poslovanja. Ako bi jačanje tržišta dužničkih hartija od vrednost i delimično i izazvalo smanjenje uloge kreditnih poslova komercijalnih banaka, sasvim sigurno bi podstaklo niz bankarskih uslužnih poslova i tako povoljno uticalo na razvoj investicionog bankarstva u Srbiji. Reč je o domaćoj praksi dobro poznatim bankarskim poslovima (npr. bankarske garancije), ali i nizu novih uloga banaka kao što su finansijsko savetovanje, pokroviteljstvo emisije, distribucija hartija od vrednosti i sl. Preduslovi za efikasno tržište dužničkih hartija od vrednosti nisu samo pravne prirode. Jedan od osnovnih preduslova za razvoj finansijskog tržišta naše zemlje je upravo volja i potencijal banaka da razviju poslove investicionog bankarstva. Trebalo bi očekivati da će visok stepen konkurencije na kreditnom tržištu uticati na razvoj investicionog bankarstva. U ovom broju autor naročito razmatra funkcionalne preduslove za razvoj tržišta dužničkih hartija od vrednosti. Potrebno je očuvati osnovnu funkciju kratkoročnih hartija od vrednosti, ali i stimulisati emisiju i trgovanje korporativnih i municipalnih obveznica, kao i dugoročnih državnih hartija od vrednosti. Za razliku od ostalih privrednih subjekata, banke mogu emitovati dužničke hartije od vrednosti, ali i učestvovati u emisiji obavljajući razne funkcije. Obezbeđenje dužničkih hartija od vrednosti je takođe jedna od novih poslovnih Mogućnosti domaćih banaka. Zbog toga je bilo potrebno razmotriti specifičnosti emisije dužničkih hartija od vrednosti i ulogu banaka u postupku emisije i distribucije, kao i odgovornost banaka u vezi sa ovim postupkom naročito savetodavnu funkciju banaka kao finansijskih savetnika.
AB  - Serbian financial system is bank-oriented: corporate sector mostly relies on bank credits for financing their development projects, as well as running business. Encouraging the financing of businesses and municipalities by issuing debt securities would not imply the lessening of the role of banks but on the contrary, it would lead to diversification of the banking business. Even if strengthening of the debt securities market partially reduced the role of commercial banks' credit transactions, it would surely incite the whole range of banking services and therefore have a positive effect on the development of investment banking in Serbia. Those are banking services that are well known in the domestic practice (e. g. bank guarantee) but also the whole range of new services such as financial advice underwriting, distribution of securities etc. Preconditions for an effective debt securities market are not only of a legal nature. One of the main preconditions for the development of financial market in our country is exactly the will and potential of banks in developing investment banking. It may be expected that high degree of competition on the credit market would incite the development of investment banking. In this issue, the author particularly focuses on functional preconditions for the development of debt securities. The main function of short-term securities should be preserved whereas the issue and trading in corporate bonds and municipal bonds, as well as the long-term government securities, should be fostered. Contrary to other business subjects, banks may not only issue debt securities, but also perform various functions in the issuing process. That is why it was necessary to reveal the specific issues related to issuing debt securities, as well as the responsibility of banks, in particular the advisory role of banks as financial advisers.

Reč je o domaćoj praksi dobro poznatim bankarskim poslovima (npr. bankarske garancije), ali i nizu novih uloga banaka kao što su finansijsko savetovanje, pokroviteljstvo emisije, distribucija hartija od vrednosti i sl. Preduslovi za efikasno tržište dužničkih hartija od vrednosti nisu samo pravne prirode. Jedan od osnovnih preduslova za razvoj finansijskog tržišta naše zemlje je upravo volja i potencijal banaka da razviju poslove investicionog bankarstva. Trebalo bi očekivati da će visok stepen konkurencije na kreditnom tržištu uticati na razvoj investicionog bankarstva. U ovom broju autor naročito razmatra funkcionalne preduslove za razvoj tržišta dužničkih hartija od vrednosti. Potrebno je očuvati osnovnu funkciju kratkoročnih hartija od vrednosti, ali i stimulisati emisiju i trgovanje korporativnih i municipalnih obveznica, kao i dugoročnih državnih hartija od vrednosti. Za razliku od ostalih privrednih subjekata, banke mogu emitovati dužničke hartije od vrednosti, ali i učestvovati u emisiji obavljajući razne funkcije. Obezbeđenje dužničkih hartija od vrednosti je takođe jedna od novih poslovnih Mogućnosti domaćih banaka. Zbog toga je bilo potrebno razmotriti specifičnosti emisije dužničkih hartija od vrednosti i ulogu banaka u postupku emisije i distribucije, kao i odgovornost banaka u vezi sa ovim postupkom naročito savetodavnu funkciju banaka kao finansijskih savetnika., Serbian financial system is bank-oriented: corporate sector mostly relies on bank credits for financing their development projects, as well as running business. AB  - Netiranje predstavlja jedan od instrumenata upravljanja rizikom i kao takav pozitivno utiče na bilans stanja ugovornih strana, s obzirom da mogućnost prebijanja potraživanja smanjuje izloženost riziku i umanjuje potrebni kapital, dok sa druge strane smanjuje transakcione troškove, naročito troškove saldiranja. Efektivnost sporazuma o netingu i ugovornih odredbi o netiranju međusobnih obaveza, kao i pravni tretman ovog mehanizma, još od kraja osamdesetih godina ovog veka otvoreno je pitanje, sa globalnom tendencijom njegovog priznavanja. Osnovne dileme koje su se postavljale i koje se još uvek postavljaju pred zakonodavca i regulatorne organe na finansijskom tržištu naročito se odnose na izvršivost netinga u slučaju stečaja jedne od ugovornih strana, kao i sa time povezanog tretmana netiranja za potrebe obračuna adekvatnosti kapitala. Uprkos širokoj upotrebi sporazuma o netiranju potraživanja, izvršivost odredbi o ovom modalitetu prebijanja u prošlosti je u razvijenim zemljama bila neizvesna, naročito zbog efekta propisa o stečaju. Mnoge zemlje su u međuvremenu obogatile svoje zakonodavstvo novim pravilima koja se odnose na prebijanje potraživanja u pogledu finansijskih terminskih poslova, bilo izmenama zakona o stečaju, propisa kojima se reguliše finansijski sistem, ili donošenjem novih zakona u kojima se ova specifična materija reguliše kao posebna celina. U kontekstu stečajnog postupka, moderna prava danas dozvoljavaju mogućnost likvidacionog netinga, obično u pogledu određenih finansijskih instrumenata, naročito finansijskih derivata. Specifične odredbe o netingu predstavljaju odstupanje od opštih principa stečajnog prava. Cilj regulatorne reforme nije da se time stvori privilegovana grupa poverilaca na štetu ostalih poverilaca, već da se obezbedi pravna sigurnost na finansijskom tržištu. U ovom radu autor ukazuje na pravnu prirodu ovog finansijskog termina, njegove osnovne oblike, ukazuje na neke nedoslednosti u pogledu razlikovanja instituta prebijanja i odredbi o netiranju u pravu EU i otvara pitanja da li su sporazumi o netiranju izvršivi u našem pravu.
AB  - Netting is a risk management tool and as such it benefits the financial position of both parties, taking into account that the possibility to set off mutual claims decreases risk exposure and the capital requirement, whereas it also lowers transaction costs, notably those related to settlement. Efficacy of netting agreements and netting clauses, as well as the legal treatment of this mechanism, stands as an open question since eighties, with a global tendency towards its acceptance. The main dilemmas which were put and are still put in front of the legislator and the regulatory agencies on financial markets relate to its enforceability in case of bankruptcy and the related treatment of netting for capital adequacy purposes. In spite of the widespread use of this agreements, however, the enforceability of contractual and netting rights is sometimes uncertain, which is mainly because the law governing insolvency proceedings may, as a matter of policy or tradition, refuse to recognize such rights. Many countries have reflected the special role of netting in the financial markets by introducing special exceptions to their normal insolvency rules. In an insolvency context, modern law may generally permit close-out netting, or solely for designated financial instruments especially in the field of derivatives. This specific netting legislation is a carve-out from the general principles of insolvency law, which is in roman legal system traditionally pro-debtor. The rationale is not so much to create a privileged class of claimants to the detriment of the remaining creditors but to recognize that the current legal solution, based on the principle of equal treatment of creditors, is inconsistent with the contractual and legal certainty required by modern financial markets. In this Paper the author analyses the meaning of the term 'netting' and its legal nature, identifies various legal uncertainties on the enforceability of contractual set-off and netting agreements that result from certain provisions of the Insolvency Regulation, the Banks Winding-up Directive and the Collateral Directive and opens a question whether netting is enforceable under Serbian law.
