AB  - Ugovor o komisionu zanimljiv je stoga što komisionar deluje u svoje ime, a za račun komitenta. Način regulisanja komisiona u Zakonu o obligacionim odnosima otvorio je neka pitanja od praktičnog značaja koja su u doktrini i praksi naišla na različite stavove. U radu se posvećuje pažnja nekim pitanjima koja smatramo naročito interesantnim, a koja, čini se, u poslednje vreme nisu podrobnije razmatrana u nas: sadržina i domašaj komisionarove obaveze da postupa po uputstvima komitenta, komitentova prava u pogledu stvari i potraživanja koja je komisionar stekao ili se kod njega nalaze, implikacije načina na koji Zakon štiti komitenta u slučaju komisionarovog stečaja i posledice komisionarovog kašnjenja u isplati naplaćene cene ili čak neovlašćene upotrebe komisionarevih sredstava.
AB  - A particularity of commission agency is that the commission agent acts in its own name, but for the account of the principal. The provisions of the Law on Obligations leave certain practical issues conclusively unresolved, and such issues have been encountered both in doctrinal analysis and in case law. The article analyzes some of the issues that, while being relevant in practice, have not been subject to scrutiny recently, such as the content and reach of the obligation of the commission agent to act in accordance with the instructions of the principal, the principals rights over chattels, and claims acquired by the commission agent or held by it, implications of the provisions of the law regulating the rights of the principal in case of bankruptcy of the commission agent, and the consequences of commission agent's belated transfer of monies received or even unauthorized use of monies belonging to the principal.

Virtual Arbitration hearings: The new normal?

AB  - This paper addresses the notion and legal framework for virtual hearings in international arbitration. The authors first examine the existing laws in different jurisdictions and how they tackle the issue both when it comes to litigation and when it comes to arbitration, followed by analyses of various institutional arbitration rules, including recent changes thereof and pertinent case law on the matter. They further examine the general idea of a virtual setting for the hearing against legal and technical objections frequently encountered in practice. In particular, the interplay of technical capabilities and legal standards such as "due process" and the "right to present one's case" is assessed. Finally, the authors identify possible pathways to replacing the classical in-person hearing with the virtual one and the key legal and practical considerations to be assessed before deciding to proceed with it.

Odlučnim polukorakom napred - osvrt na Zakon o ulaganjima

AB  - U sklopu strategije privlačenja stranih investicija i proklamovanog izjednačavanja domaćih i stranih ulagača, Srbija je nedavno Zakon o stranim ulaganjima iz 2002. zamenila Zakonom u ulaganjima. Novousvojeni zakon je, međutim, ograničenog dometa, konceptualno manjkav, uz tek pojedina poboljšanja u odnosu na postojeći režim. Iz zakonskih rešenja očigledna je bila nevoljnost zakonodavca da jednom i konačno raskrsti s prevaziđenim konceptom 'zakona o stranim ulaganjima', kao i opredeljenje da pokuša da krupne sistemske probleme reši prečicom, i to samo u odnosu na ulagače. Pravo poboljšanje pravnog okvira poslovanja uslediće tek kada se puna pažnja posveti podizanju kvaliteta već postojećih propisa i njihovom doslednom sprovođenju, kao i proširenju i modernizaciji mreže postojećih bilateralnih investicionih sporazuma.
AB  - The desire to attract foreign investment, combined with the drive to declare foreign and domestic investors 'equal' has resulted in a recent legislative change - 2002 Law on Foreign Investment has been replaced with the Law on Investment. The new law is, however, of limited impact, suffers from conceptual deficiencies and contains only a couple of improvements when compared with the prior legal regime. The legislatior was evidently reluctant to part for good with the concept of 'laws protecting foreign investment', or to give up on idea of a quick-fix for systemic problems plaguing the entire legal system. Instead, it tried to shield the investors from such problems only, often resorting to dubious solutions. The real improvement of the legal environment for investment requires careful improvement of the existing laws and their robust enforcement. In addition, Serbia could in the meantime expand and modernize its existing network of bilateral investment treaties.

Contractual penalty clauses in recent Serbian arbitration practice

AB  - The focus of the paper is on the analysis of different approaches to situation when the parties are allowed to agree on sums payable in the event of breach of obligations, issues pertaining to contractual penalties in general as well as practical and doctrinal differences in their compensatory and penal goal. The authors reflect on some of the acute issues raised in recent arbitral practice with respect to the topic of contractual penalties, particularly in the sphere of privatization agreements. One of the problems analyzed relates to characterization of the secured obligations in privatizations, reductions of penalties as well as the issue of combining contractual penalties with bank guarantees and with the prohibition of restitution contained in the Law on Privatization of the Republic of Serbia.

AB  - Rad predstavlja analizu Zakona o zaštiti konkurencije donetog jula 2009 godine. Analiza je usredsređena na promene zakonskog teksta u odnosu na prethodni zakon. Harmonizacija domaćeg s evropskim pravom bila je ideja vodilja pri izradi ovog zakona, a zakonodavac je pokušao da Zakonom što vernije oponaša model koji funkcioniše na nivou Zajednice. Razmotrena su zakonska rešenja u pogledu restriktivnih sporazuma, dominantnog položaja i njegove zloupotrebe, određivanja relevantnog tržišta, kao i kontrole koncentracija, vremenski domašaj zakona, kazne, kao i osnovna procesna rešenja, a naročito ona koja se odnose na pravna sredstva protiv rešenja Komisije. Zaključak je da ovaj zakon predstavlja korak unazad sa stanovišta poslovnog okruženja, odnosno regulatornog rizika kojem su izloženi preduzetnici, kao i da se njime faktički ukida efikasna pravna zaštita u oblasti zaštite konkurencije. Konstatuje se da ovaj razmatrani zakon predstavlja 'jasnu i neposrednu opasnost' za obavljanje privrednih delatnosti u Srbiji, za njen privredni rast i prosperitet.
AB  - The main objective of this article is to analyze the Law on Protection of Competition enacted by the Serbian legislator in July 2009; and especially to scrutinize the changes introduced into Serbian law by this new piece of legislation. Harmonization of domestic provisions with those of the European Community has been a guiding principle in the drafting process and the legislator has attempted to mimic the legislative model of the Community as closely as possible. Among the provisions analyzed are those dealing with restrictive practices, dominant position and abuse of dominance determination of the relevant market, merger control, temporal scope of the law, penalties, as well as the basic procedural mechanisms, particularly those dealing with legal recourse against decisions of the Competition Commission. The authors conclude that the new law represents a step back when it comes to business environment, i.e. regulatory risk to which the entrepreneurs are exposed, and that it de facto abolishes effective legal recourse against the rulings of the Commission. Therefore, this law represents a 'clear and present danger' for doing business in Serbia, for its economic growth and prosperity.

AB  - Arbitration is usually regarded as a domain exclusively reserved for private law. Inevitably, however, certain criminal matters and allegations might creep into arbitral proceedings. The dispute itself could be fictitious, a screen for money laundering, or the underlying purpose of alleged consultancy might be bribery. Testimony or expertise offered before the tribunal might be false. In such cases, arbitrators can either address the criminal matters or turn a blind eye to them. Immediately, there is a dilemma whether the arbitrator's duty to report, if any, overrides the principle of confidentiality of arbitral proceedings. It is submitted that arbitrators are a part of the judicial system and they fail to qualify for any privilege exception. When deciding issues of bribery, however, they are still faced with difficult issues of burden of proof and law applicable to illegality. The task of deciding on the merits becomes particularly difficult if they do not take the jurisdictional way to terminate the proceedings. In such a case, it might prove fairly difficult to avoid unjust solutions. Finally, false testimony may undermine the very foundation on which an award is based, yet it is not always clear which procedural mechanisms should be used to rectify such deficiency. This difficult dilemma is, however, for legislators and judiciary, rather than for arbitrators.

AB  - Pitanje dopuštenosti protivtužbe pred međunarodnom trgovinskom arbitražom je doskora uglavnom držalo relativno jednostavne formule – analize objektivnog domašaja arbitražnog sporazuma. U pogledu kompenzacionog prigovora, granice dopuštenosti bile su manje jasne i uglavnom su zavisile od odnosa prigovora i tužbenog zahteva. Međutim, donošenjem novih švajcarskih arbitražnih pravila po prvi put se potencijalno proširuje nadležnost arbitraže u pogledu kompenzacionih prigovora, i to tako da može zahvatiti i one prigovore koji su predmet već postojeće prorogacione ili arbitražne klauzule. U tom slučaju postoji realna opasnost da takva atrakcija nadležnosti dovede do konflikta sa sudom ili arbitražom čija je nadležnost ugovorena u pogledu odnosa iz koga potiče kompenzacioni prigovor. Postavlja se pitanje domašaja odluke o kompenzacionom prigovoru, kao i mogućnosti da arbitraža primeni pravila o litispendenciji kako bi izbegla mogućnost potencijalno konfliktnih odluka.
AB  - Until recently, admissibility of counterclaims before international commercial arbitrations has been treated in accordance with a relatively simple formula – one had to ascertain the objective scope of the arbitration agreement. With regard to set-off, however, admissibility threshold has been less clear and was mostly dependant on relation between the main claim and set-off. Newly promulgated Swiss Arbitration Rules have, for the first time enabled potential broadening of arbitral jurisdiction over set-off claims enabling Swiss tribunals to adjudicate even those set-offs that are already subject to another arbitration clause or forum selection clause. This might lead to a potentially dangerous situation where such attraction of jurisdiction might lead to a conflict with another tribunal or court which has expressly been designated as competent with regard to relations which give rise to set-off. This triggers later dilemmas with regard to the reach of decisions on set-off and the possibility that the tribunal applies lis pendens rules in order to avoid conflicting decisions.

AB  - Izuzetno brz razvoj Internet je doneo nave probleme pri određivanju domašaja zakonodavne nadležnosti. Ukoliko se odbaci percepcija Interneta kao 'prostora', jasno je da države ne mogu aktivnosti koje se obavljaju putem Interneta prepustiti anarhiji. I do sada su se zakonodavne nadležnosti država sudarale oko pojedinih pitanja, ali je uspon Internet kao medijuma umnožio situacije u kojima do takvih sukoba može doći. Nedavna odluka francuskog suda u slučaju Yahoo! na najbolji način ilustruje svu delikatnost zadatka koji stoji pred sudovima i zakonodavcima. Internet je takođe doveo i do preispitivanja dosadašnjih tačaka vezivanja međunarodne sudske nadležnosti. Pojavila se opasnost da stare odredbe o međunarodnoj sudskoj nadležnosti zahvate previše ili premalo, no u svakom slučaju ne onoliko koliko je zakonodavac to nekada želeo.
AB  - The sudden rise of Internet introduced new problems in delimitation of prescriptive jurisdiction. Once the notion of Internet as a distinct 'space is discarded, it is obvious that nation-states have to step in and regulate on line activities. States' prescriptive jurisdictions have already been clashing in the past, but the rise of the Internet has multiplied the potential for such conflicts. Recent decision of the French court in the famous Yahoo! Case indicates just how delicate the task of courts and legislators will be in the future. Internet also initiated a reappraisal of the principles of judicial juries diction. Old rules are suddenly allocating too much or too little jurisdiction to the courts, rendering earlier legislative choices less then useful in the present context.
