AB  - This paper aims to contribute to legal research on family-owned companies, focusing on Serbian law. This company type is the focus of Part Two of the Serbian Corporate Governance Code, which contains various specific corporate governance mechanisms, such as succession plans, family general meetings, family councils, and family protocols and recommendations aiming to achieve responsibility, transparency, continuity, efficiency, and fair treatment of all shareholders. The paper presents existing possibilities and explores whether a specific Serbian corporate governance regime dedicated to family-owned companies can be accommodated into a general company law regime. This paper aims to further promote the use of specific mechanisms designed for family-owned companies, paying particular attention to the importance of drafting family protocols. These protocols can regulate not only typical corporate governance issues but are also suitable to include the family-owned company's vision and mission as a sustainable, balanced, and long-term viable business organization.

AB  - U centru pažnje ovog rada je ideja formiranja i jačanja unije tržišta kapitala EU. Reč je o jednom ambicioznom političkom, ekonomskom i pravnom projektu EU. Ova ideja, usmerena na formiranje jedinstvenog evropskog tržišta kapitala, se do sada realizovala u brojnim pravnim reformama i drugim aktivnostima i merama. Izvršene su značajne izmene pravnog okvira finansijskih tržišta, naročito tržišta kapitala, te nema važnije teme u ovoj oblasti koja je zaobiđena. Cilj rada je da upozna domaću stručnu javnost sa idejom stvaranja unije tržišta kapitala EU. Rad pruža celovitu sliku razloga koji su doveli do reforme tržišta kapitala i prikazuje kako je ona do sada sprovedena. Rad ukazuje i na dalje reforme koje se mogu očekivati. Na taj način se pruža mogućnost domaćoj javnosti da sagleda ideju unije tržišta kapitala EU, kako bi sa više razumevanja mogla da prati reforme koje se sprovode u oblasti tržišta kapitala u Republici Srbiji.
AB  - In this paper the author presents an overview of the idea of forming and strengthening the capital markets union (CMU) - an ambitious political, economic and legal project of the EU. This idea, aimed at the formation of a single European capital market, has so far been implemented through numerous legal reforms and other activities and measures. Significant changes were made to the current legal framework of financial markets, especially capital markets, and no important topic in this area has been bypassed. The paper aims to familiarize domestic public with the idea of creating the EU CMU. It also provides a comprehensive view of the reasons that led to reform and its implementation in the EU so far, as well as expected further reforms. The domestic public is given the opportunity to look at the EU CMU idea in order to follow reforms in the Republic of Serbia with greater understanding.

Elektronska registracija osnivanja privrednih društava u Republici Srbiji

AB  - Autor se u radu bavi postupkom elektronske registracije osnivanja privrednih društava u pravu Republike Srbije. Prvi put je ovaj postu pak omogućen 2017. godine radi elektronske registracije preduzetnika, a nedugo zatim i osnivanja jednočlanog i višečlanog društva sa ograničenom odgovornošću. Postupak se u celini izvodi elektronskim putem. Omogućeno je elektronsko podnošenje registracione prijave osnivanja privrednog društva, kao i elektronsko potpisivanje prijave korišćenjem kvalifikovanog elektronskog potpisa. Takođe je predviđena mogućnost sačinjavanja i dostavljanja elektronskih ili digitalizovanih dokumenata i nji hovo elektronsko potpisivanje. Najzad, elektronska registracija se okončava dostavljanjem odluke registratora u elektronskoj formi na registrovanu elektronsku adresu za prijem elektronske pošte. Uvođenje postupka elektronske registracije, a zatim i njena šira i efikasnija primena, predstavljaju jedan od važnih ciljeva u daljem unapređenju efikasnosti postupka osnivanja privrednog društva u Republici Srbiji. Ovaj postupak došao je do izražaja i tokom pandemije Covid-19, te iskustva iz tog perioda mogu da budu od značaja u daljem unapređenju ovog postupka.
AB  - In this paper author presents an overview of the procedure of electronic registration of the companies' formation in the Serbian law. This procedure was made possible for the first time in 2017 for the purpose of electronic registration of entrepreneurs, and shortly afterward the establishment of a single-member and multi-member limited liability company. The procedure is performed entirely electronically. It is possible to submit electronically the registration application for founding a company, as well as to electronically sign the application using a qualified electronic signature. The possibility of composing and submitting electronic or digitized documents and their electronic signing is also envisaged. Finally, electronic registration ends with the delivery of the registrar's decision in the electronic form to the registered e-mail address. The introduction of the electronic registration procedure, and then its wider and more efficient application, represents one of the important goals in further improvement in the efficiency of the procedure of establishing a company in Serbia. This procedure came to the fore during the Covid-19 pandemic, and the experiences from that period may be important in the further improvement of this procedure.

Administrative Contracts in Serbian Law - Specificities of the New Statutory Regime

AB  - The subject of this paper is the special legal regime for administrative contracts under the recently enacted Serbian Law on General Administrative Procedure of 2016. We offer a comprehensive analysis of the new statutory rules, and examine their relationship to the general rules and principles of Serbian contract law. In addition, we identify the main shortcomings of the new regime, especially in the context of the lack of any statutory, scholarly and judicial typology of administrative contracts in Serbia. Furthermore, we highlight the lack of references to the notions of public interest, public purpose or public needs in the statutory definition of administrative contracts. This is cause for concern, since only the need to protect the public interest could justify the new statutory provisions, which significantly improve the contractual position of a public body as a contracting party in relation to the position of a private entity as the other party in administrative contracts. There is as yet no case law pertaining to administrative contracts in Serbia. This is why we turn to practical experience in the Croatian legal system, which is sufficiently similar and historically connected to Serbia via a shared Yugoslav heritage. We also consider German and French legal models, since they traditionally serve as comparative points of reference for Serbian legal scholars, judges and law makers.

Harmonizacija prekograničnih kretanja privrednih društava u pravu EU

AB  - Autor se u radu bavi harmonizacijom prava EU u oblasti prekograničnih kretanja privrednih društava. Ukazuje na dosadašnje pravce harmonizacije prekograničnih postupaka i teškoće koje su nakon nekoliko decenija uspešno prevaziđene. Predstavljeni su različiti prekogranični postupci, koji su omogućeni nakon harmonizacije ove oblasti. To je, pre svega, unapređeni postupak prekograničnih statusnih promena, koji pored pripajanja i spajanja po prvi put definiše i uređuje prekogranične podele. Izuzetno važan doprinos novih pravila je i u uvođenju i regulisanju prekograničnih promena pravne forme - prekograničnih promena registrovanog sedišta društva uz izmenu merodavnog prava. Novim pravilima ne samo da je omogućeno nesmetano prekogranično kretanje, već su naročito uređeni efikasni postupci za njihovo preduzimanje. Izuzetna pažnja je u regulisanju posvećena zaštiti interesa više kategorija lica, naročito manjinskih akcionara i članova, poverilaca i zaposlenih. Najzad, razvijena je dvostepena kontrola postupka u kojoj postoje značajne mogućnosti borbe protiv zloupotrebe, izigravanja zakona, prevarnih ili kriminalnih radnji.
AB  - In this paper the author presents an overview of the EU legal framework for cross-border company's mobility. It gives a historic background to various obstacles related to cross-border mobility and puts it into the context of the European Court of Justice decisions on the various issues of right of establishment. EU Company Law Directive on Cross-border Mobility regulates cross-border conversions (resulting in the change of applicable law and at least registered seat of the company) and cross-border divisions for the first time. It also improves already existing regime for cross-border mergers. Directive on CrossBorder Mobility gives an opportunity for various internal market participants, including economically strong as well as smaller business forms to use advantages of predictable, efficient legal procedure to perform cross-border operations. It includes various harmonization instruments in order to protect interests of (minority) shareholders, creditors and employees. Double control, including issuance of the pre-merger certificate in the country of origin and control of the procedure in the destination country before cross-border procedure has been registered and becomes effective provides for optimal co-ordination of national authorities, and offers safe business environment for various market participants.

AB  - Zakon o privrednim društvima je izmenama krajem 2018. godine po prvi put u srpsko pravo uneo odredbe o Evropskom akcionarskom društvu, koje će se primenjivati nakon što Srbija postane članica EU. Reč je o specifičnoj supranacionalnoj formi "evropskog" društva, čija konkurentnost predstavlja jedno od njegovih važnih obeležja. Uslovi osnivanja predviđeni su imperativnim odredbama Uredbe koja uređuje ovu formu, kako u pogledu načina osnivanja, tako i subjekata koji učestvuju u formiranju te pravne forme. Srpsko pravo je, unoseći u svoj pravni sistem pravila kojima omogućava osnivanje i funkcionisanje Evropskog akcionarskog društva, takođe predvidelo limitativne uslove. Ipak, njihov sadržaj nije identičan pravilima Uredbe, a poseban nesklad postoji u definisanju prekograničnog elementa kao uslova za osnivanje Evropskog akcionarskog društva. To pitanje biće razmotreno u ovom radu, sa kritičkim osvrtom na njegovu sadržinu i moguće negativne posledice.
AB  - This paper examines existing legal regime of European company in Serbian law, which will become applicable once the Republic of Serbia joins the European Union. European Company is a supranational form, introduced within EU by the Regulation No 2157/2001. Among imperative requirements, it is explicitly provided that European Company can be formed under strict conditions. They include procedure during which European Company (SE) can be created - merger by acquisition or formation of a new SE, formation of a holding SE, formation of a subsidiary SE or transformation of a national limited liability company into SE. Other condition to create SE includes cross-border element, and requires that companies (or subsidiaries or branches) from two applicable laws must be involved in formation of the European Company.

AB  - Arbitrabilnost sporova u kompanijskom pravu sve je češće tema stručne i naučne javnosti. Ovaj rad ima cilj da pruži doprinos analizi ove problematike isticanjem najznačajnijih problema u pitanju arbitrabilnosti sporova u vezi sa (radi ili povodom) pobijanja odluke skupštine privrednog društva. Pošto se radi o sporovima koji su česti u praksi, vrlo je korisno istražiti da li bi i oni, i u kojoj meri, odnosno pod kojim uslovima, mogli da budu predmet arbitraže. Stoga je cilj autora da otvori pitanje arbitrabilnosti tih sporova i pruži osnov za dalje proučavanje, moguću regulativu i eventualnu primenuu praksi.
AB  - This paper examines existing legal regime of arbitrability in Serbian law, with particular regard to inter-corporate disputes. Special attention in this analysis is paid to disputes concerning avoidance of general meetings' decisions, bearing in mind that these disputes are common in legal practice. The paper will provide insight into Serbian provisions on arbitrability and examine whether all necessary conditions are fulfilled if case regarding general meetings' decision is brought in front of an arbitration tribunal. They are of particular concern to recognition of arbitration agreement or when Serbian court has to enforce an arbitral award. It is pointed out that further development of Serbian arbitration law will require amendments to existing law, introduction of specific provisions in (inter) corporate disputes and model arbitration clause which can be included in articles of incorporation or statues, in order to provide access to arbitration and swift and confident conflict resolution.

AB  - Autor se u radu bavi problemima ništavosti osnivanja privrednog društva. U prvi plan su istaknuti razlozi postojanja posebnog režima ništavosti osnivanja u uporednopravnoj teoriji i postojeći restriktivni režim koji je predviđen u pravu Evropske unije. Osim toga, analizirani su teorijski koncepti ništavosti u odnosu na pojmove ništavosti društva, ništavosti osnivanja društva, ništavosti pravnog osnova (osnivačkog akta) i ništavosti registracije ili upisa privrednog društva. Ukazano je na postojeće nedoumice i probleme u praktičnoj primeni mogućih rešenja. Naročito je naglašeno da ništavost mora da bude krajnje sredstvo zaštite interesa zainteresovanih lica, radi čega je nužno unapređenje postojećeg sistema kontrole (osnivanja) privrednih društava.
AB  - This paper deals with the nullity of a company. It emphasizes why it is necessary to establish a special restrictive regime with regard to the nullity of a company, and what complementary mechanisms need to be introduced in order to accomplish legal certainty. In this respect the existing regime of the nullity of companies within EU Company Law is examined and different conditions for nullity, including possible consequences are presented. Different theoretical concepts of the nullity of a company were examined and compared in this paper, in particular nullity of the company's incorporation, invalidity of the articles of incorporation, as well as registration procedure. Comparative law concepts, including de facto company, société de fait or fehlerhafte Gesellschaft are also examined in order to define nullity in Serbian Company Law, as well as to resolve some existing concerns and problems in Serbian case law. Finally, it is underlined that nullity of a company must be regarded within the existing system of control of the incorporation of the company. It is emphasized that, in order to achieve legal certainty, nullity must be the ultimate means of protecting the interests of persons concerned, which is why it is necessary to improve the existing control system of incorporation of companies.

AB  - The focus of this paper are provisions related to nullity of the articles of incorporation in Serbian Company Law. The existing regime is analyzed and compared with provisions related to nullity of the registration of the incorporation procedure and their separate function and conditions are underlined. Existing regime of the Serbian Company Law was adopted under the influence of the EU Company Law Directive dealing with the nullity of a company. Nevertheless, although most conditions related to nullity were adopted, their common use in practice is often ambiguous. This paper points to the existing concerns and problems in practical application of existing solutions. Therefore, the author suggests changes that would contribute to more comprehensive, systematic and clearer regulation of the regime of nullity of the articles of incorporation. However, it is pointed out that the nullity must be the ultimate instrument of protection of the interests of the persons concerned, which is why it is necessary to improve the existing system of control of incorporation and registration of companies.

Slobodno kretanje usluga obuhvata slobodno nastanjivanje radi obavljanja uslužne delatnosti i slobodan prekogranični pristup tržištu usluga. Predmet ovoga rada su sadržina, domašaj i ograničenja slobode prekograničnog pružanja usluga po Ugovoru o funkcionisanju EU i, naročito, prema Direktivi o uslugama iz 2006. Osnovni cilj potonjeg propisa jeste horizontalna liberalizacija unutrašnjeg tržišta usluga. Autorke razmatraju i način na koji je sloboda prekograničnog pružanja usluga zaštićena u Nacrtu zakona o uslugama Republike Srbije iz 2015.

Prekogranična konverzija predstavlja promenu merodavnog prava uz očuvanje pravnog kontinuiteta i podrazumeva da je prihvaćena pravilima zainteresovanih prava - zemlje porekla i zemlje prijema. Realizacija ovog postupka moguća je ili definisanjem posebnih pravila, što je za sada retkost u uporednom pravu, ili putem shodne primene bliskih postupaka, pre svega primene pravila o promeni pravne forme društva. Ipak, specifičnost prekograničnog karaktera postupka zahteva dodatnu zaštitu interesa pojedinih lica, i naročito usklađenost postupka registracije, kako bi se obezbedila pravna sigurnost za sva zainteresovana lica.

It must be accepted by all interested laws - of the home, as well as law of the host country. Realization of cross-border conversion can be achieved by special provisions, still very rare in contemporary comparative company law, or by application of general provisions of similar procedures, most likely change of corporate legal form. Still, specific problems connected with cross-border conversion such as protection of certain interests stands at the center of those provisions. Also, cross-border conversion requires coordination of the registration, which is essential in providing legal certainty for all interested persons.

AB  - Ovaj rad definiše prekogranične konverzije kao promenu registrovanog (i stvarnog) sedišta uz promenu merodavnog prava kojim se uređuju statusna pitanja društva. Pravi se razlika između pojmova konverzije i promene sedišta društva i drugih prekograničnih postupaka. Naročita pažnja je posvećena utvrđivanju da li je termin konverzija, kojim se u nacionalnom pravu označava promena pravne forme društva, prikladan za ovaj prekogranični postupak. Njegovo najznačajnije obeležje predstavlja pravni kontinuitet, te isto društvo nastavlja da postoji u odgovarajućoj formi nacionalnog prava nakon uspešne prekogranične konverzije. S obzirom na to da ista pravna priroda leži u osnovi prekograničnih i nacionalnih konverzija u većini evropskih prava, opravdano je prihvatiti da se radi o bliskim institutima. U odsustvu posebnih pravila, na postupak prekogranične konverzije moguće je primeniti nacionalna pravila o konverzijama.
AB  - Cross-border conversion is a term increasingly used for a procedure where one company changes its registered (and real) seat while changing its applicable corporate law. The difference between conversion and transfer of a companies' seat is analyzed, as well as other similar cross-border transformations. The paper examines whether cross-border conversion can be considered as a change of company's form, with the appropriate application of national provisions on conversions. The analysis shows that the most important aspect of cross-border conversion is legal continuity. The change of legal form prescribed by the new applicable legislation following the cross-border conversion does not result in loss of legal personality; to the contrary, the company that existed before is the same as the one continuing to operate after the conversion. Having in mind that legal continuity is generally adopted in prevalent number of European company laws in the case of cross-border and national conversions, it can be concluded that they have the same legal nature. Therefore, cross-border conversions can be regulated by application of national provisions on conversion procedures, as well as protection of rights of certain stakeholders. However, it would be preferable if additional regulation on cross-border conversions would define and coordinate applicable laws and introduce special provisions for the protection of interested persons, as this would greatly contribute to both efficiency of cross-border conversions and overall legal certainty.

AB  - This paper deals with the issue of directors’ responsibility as one of the main instruments of efficient creditor protection. In continental laws this responsibility can be established in tort law, based on fault. Also, UK law and most developed continental laws are also introducing special instruments of directors’ liability when a company is in the vicinity of insolvency through wrongful trading or similar functional equivalent rules. Different national law systems of directors’ responsibility are compared with the current regime of directors’ responsibility in Serbian law. We conclude that in Serbian law there is no direct responsibility of directors to creditors, neither through Company Law rules, nor general rules of Civil Law, particularly tort responsibility. Also, Serbian Insolvency Act does not recognize wrongful trading or similar instruments by which directors could be directly responsible if the company is near or in insolvency. Although the newly adopted Company Act in Serbia does introduce one particular case of direct responsibility of directors to creditors, it is still very limited and offers neither adequate nor sufficient protection. This situation, as well as widely existing opinion of case law concerning tort responsibility to third parties only for a company is analyzed and criticized on several particular issues. In this article we urge introduction of wider rules in future legislative amendments, by which directors would be personally responsible to creditors in exceptional situations. Preferably this could be introduced by general tort responsibility or special company law rules, or through wrongful trading, either alternatively or cumulatively. This would provide more protection for creditors, which has become even more pertinent after the minimum capital requirement was abandoned and rules concerning distribution of profits relaxed in respect of limited liability companies.

AB  - Rad se bavi pitanjem potrebe i sredstvima zaštite poverilaca u kompanijskom pravu, što postaje sve aktuelniji problem, pa zadovoljavajuća zaštita poverilaca izaziva žestoke polemike kako u okviru pojedinih nacionalnih prava, tako i na globalnom nivou, naročito u okviru EU, dok je u našoj pravnoj nauci ova tema nedovoljno zastupljena. Autor naročito analizira potrebu zaštite različitih kategorija poverilaca, koja se značajno razlikuje. U tom smislu najznačajnija je razlika između voljnih i nevoljnih poverilaca, ali i drugih grupa, kao što su banka, stalni poslovni partneri, poverioci iz delikta, država i drugi. Svaka od tih kategorija ukazuje na potrebu i kombinaciju različitih instrumenata u njihovoj zaštiti. Od mogućih instrumenata, s jedne strane dominiraju ugovorna individualna sredstva obezbeđenja, ali i dalje nesumnjiv značaj imaju (tradicionalna) obavezna pravila kompanijskog prava. Ona se, pre svega, sastoje u odredbama o minimumu i održavanju kapitala, iako je takav način zaštite danas jedno od najspornijih pitanja u ovoj oblasti. Osim tog instrumenta, koji za sada i dalje predstavlja osnovu kompanijskih (evropskih) nacionalnih prava, zaštita poverilaca naročito se postiže obaveznim informisanjem poverilaca. Pored ex ante zaštite, sve više se kao značajni instrumenti ex post zaštite pojavljuju pravila o odgovornosti direktora, članova i trećih lica, za šta se zalaže autor, i ukazuje na njihov značaj u indirektnoj, a izuzetno i direktnoj zaštiti poverilaca, kako kroz pravila o deliktnoj odgovornosti, tako i kroz posebno razvijena pravila kompanijskog i stečajnog prava. Pri tom potencira činjenicu da odredbe o zaštiti poverilaca treba sagledavati kao deo celokupnog pravnog sistema svake zemlje, u kome je moguća efikasna zaštita samo ukoliko postoji međusobni sklad instituta kompanijskog sa srodnim institutima stečajnog, obligacionog i procesnog prava. Najzad, autor naročito ukazuje na opasnost od izuzimanja samo jednog instituta zaštite poverilaca, bez odgovarajuće zamene, kao i neutemeljenog prihvatanja 'tuđih' instituta izvan odgovarajućeg konteksta.
AB  - This paper deals with the need and mechanisms of creditor protection in company law - an issue which is gaining in prominence, as it causes heated discussions both within national legal systems and globally, and particularly in the EU. Still, this matter is not sufficiently considered in Serbian legal literature. The author examines distinct types of protection suitable for different categories of creditors, and for that matter, differentiates between voluntary and involuntary creditors. Creditors may be protected by means of individual contractual instruments, or via mandatory statutory rules. The capital requirements and maintenance rules are traditional provisions of company law. Yet, these rules have been questioned in the recent years, quoting the reasons of effectiveness and competition. Apart from the traditional creditor protection, important part of European rules in this field are mandatory disclosure rules. Another way in which the law intervenes in this sphere is by prescribing standards and duties of directors and shareholders towards creditors, which becomes more important if company is in the vicinity of insolvency. The provisions on creditor protection serve as a functional part of a national legal system, which also includes provisions of tort law and insolvency and procedural rules. Therefore, the efficient system of creditor protection relies on at least two pillars - mandatory provisions of the law and creditors' self protection, based on their knowledge on instruments of protection and practical usage of such instruments. The author underlines the danger of reliance on a single institute of protection of creditors, without adequate alternative, as well as unquestioned implementation of legal transplants unsuitable to the existing legal system as a whole.

Osim tog instrumenta, koji za sada i dalje predstavlja osnovu kompanijskih (evropskih) nacionalnih prava, zaštita poverilaca naročito se postiže obaveznim informisanjem poverilaca. Pored ex ante zaštite, sve više se kao značajni instrumenti ex post zaštite pojavljuju pravila o odgovornosti direktora, članova i trećih lica, za šta se zalaže autor, i ukazuje na njihov značaj u indirektnoj, a izuzetno i direktnoj zaštiti poverilaca, kako kroz pravila o deliktnoj odgovornosti, tako i kroz posebno razvijena pravila kompanijskog i stečajnog prava. Pri tom potencira činjenicu da odredbe o zaštiti poverilaca treba sagledavati kao deo celokupnog pravnog sistema svake zemlje, u kome je moguća efikasna zaštita samo ukoliko postoji međusobni sklad instituta kompanijskog sa srodnim institutima stečajnog, obligacionog i procesnog prava. Najzad, autor naročito ukazuje na opasnost od izuzimanja samo jednog instituta zaštite poverilaca, bez odgovarajuće zamene, kao i neutemeljenog prihvatanja 'tuđih' instituta izvan odgovarajućeg konteksta., This paper deals with the need and mechanisms of creditor protection in company law - an issue which is gaining in prominence, as it causes heated discussions both within national legal systems and globally, and particularly in the EU. Still, this matter is not sufficiently considered in Serbian legal literature. The author examines distinct types of protection suitable for different categories of creditors, and for that matter, differentiates between voluntary and involuntary creditors. Creditors may be protected by means of individual contractual instruments, or via mandatory statutory rules. The capital requirements and maintenance rules are traditional provisions of company law. Yet, these rules have been questioned in the recent years, quoting the reasons of effectiveness and competition. Apart from the traditional creditor protection, important part of European rules in this field are mandatory disclosure rules. Another way in which the law intervenes in this sphere is by prescribing standards and duties of directors and shareholders towards creditors, which becomes more important if company is in the vicinity of insolvency. The provisions on creditor protection serve as a functional part of a national legal system, which also includes provisions of tort law and insolvency and procedural rules. Therefore, the efficient system of creditor protection relies on at least two pillars - mandatory provisions of the law and creditors' self protection, based on their knowledge on instruments of protection and practical usage of such instruments. The author underlines the danger of reliance on a single institute of protection of creditors, without adequate alternative, as well as unquestioned implementation of legal transplants unsuitable to the existing legal system as a whole.",

AB  - Ovaj rad govori o problemima strukture Evropskog akcionarskog društva i Evropskog zatvorenog društva. Predviđeno je da će u tim formama strukturu organa upravljanja, pored obavezne skupštine, predvideti osnivači, što znači mogućnost izbora jednodomnog ili dvodomnog modela upravljanja. I pored nastojanja evropskog zakonodavca da na ovaj način postigne kompromis između međusobno različitih nacionalnih prava, i za evropske forme društava otvori mogućnost paralelne upotrebe modela upravljanja kako to odgovara osnivačima, praktična realizacija te slobode dovodi do niza značajnih problema. Oni postaju naročito izraženi ukoliko u društvu postoji neki od modela učestvovanja radnika u upravljanju, o čemu je takođe omogućeno postizanje dogovora, koji ne mora da bude nužno u vezi sa pravilima nacionalnog prava koja se primenjuju na tu formu društva. Stoga pretežna primena odredbi nacionalnih prava, naročito u odnosu na Evropsko akcionarsko društvo, predstavlja jedan od najznačajnijih problema u odnosu na njegovu organizaciju, i praktično dovodi do stvaranja pravne nesigurnosti i slabe upotrebe te pravne forme.
AB  - This paper deals with the structure of the European Company and European Private Company. They consist of obligatory shareholders meeting and alternatively one-tier or two-tier management system. Although this alternative was a compromise between different national legal systems, it could not prevent many of the practical problems of this method. These problems are specifically underlined by simultaneous application of involvement of employees in company's structure, which can be a result of the negotiation process between relevant parties, and not necessarily in the context of applicable law rules on this issue. Therefore the application of national law, especially to the European Company, results in legal uncertainty and affects a number of European Companies established so far.

AB  - U ovom radu autor se bavi slučajevima iz prakse Suda EU, koji su doveli u pitanje postojeći sistem zaštite poverilaca u kompanijskom pravu zemalja članica EU. Centar koncepta kompanijskog prava pomerio se na nove okvire viđene, pre svega, u ostvarivanju efikasnosti društva, dok je zaštita interesa pojedinih kategorija lica stavljena u drugi plan. Pošto su dosadašnji koncepti, poput minimuma kapitala u zatvorenim društvima, i principa njegovog održavanja dovedeni u pitanje, javlja se potreba za pronalaženjem efikasnog sistema zaštite poverilaca, te se naročito sve više insistira na institutima stečajnog prava i pravilima o fiducijarnoj dužnosti. No, imajući u vidu neke odluke Suda EU, otvoreno ostaje pitanje domašaja primene pojedinačnih instituta u celokupnom pravnom sistemu svake zemlje, u kome su potisnuti tradicionalni pravni mehanizmi, i koji, osim toga, više ne čine celinu pravne zaštite kako je ona do sada ostvarivana.
AB  - This paper analyses recent decisions of the ECJ, which changed creditor protection mechanisms within national law of its Member States. The main goal of company law is achieving efficiency and competitiveness, while protecting the interests of members, shareholders, and third parties is of secondary priority. Since the usual protection of creditors, such as minimum capital rules, are not applicable if they are contrary to the right of establishment, there is a new impediment to look for a more efficient and less burdensome way in achieving this protection. After Centros and other judgments of the ECJ, national law systems, which were applicable to each of the companies, are not fully applied, as a system of rules. Therefore there are serious consequences in the evasion of certain national provisions, and circumvention of laws, which cannot be dealt with by usual instruments. This problem is underlined by different criteria in applying company law rules and insolvency rules. It is suggested, that EC company law should go further in achieving satisfactory community protection of creditors by introducing modern rules of solvency, wrongful trading, common material rules applied in all Member States to insolvency procedures etc.

AB  - Ovaj rad govori o Predlogu nove forme Evropskog zatvorenog društva u EU. Autor pokušava da prikaže osnovna pravila koja se nalaze u Predlogu ove forme društva, uključujući, pre svega, način njegovog osnivanja, položaj osnivača i kasnije akcionara, pitanja akcija i kapitala ove forme društva kao i kratak osvrt na organe u njemu. Autor naročito ističe i predloženo rešenje promene registrovanog sedišta ovog društva, kao i značajna pravila o položaju zaposlenih u organima društva. Dat je osvrt i na odnos regulative ove forme društva sa već usvojenom formom Evropskog akcionarskog društva, i to naročito u odnosu na kritikovana rešenja ove forme društva.
AB  - This paper deals with the Proposal for a Statute for a European private company, presented by the European Commission. Basic rules governing this form of company, especially rules on foundation and articles of association founders as well as shareholders, shares and capital are all analyzed. Presented company organization is also discussed. The aim is to underline the importance of rules governing transfer of the registered office, as well as participation of employees in the company's bodies. Parallels are drawn with the Regulation on the European Company, especially those rules connected with the SE which were criticized in the legal theory literature.
