Razmatranje institucionalnog okvira zaštite prava u postupcima javnih nabavki

AB  - Javne nabavke imaju enorman značaj sa aspekta zadovoljavanja javnog interesa, interesa privrednih subjekata koji u njima učestvuju, kao i svakog građanina koji koristi pribavljena dobra, usluge ili radove neposredno, ili kroz funkcionisanje određenog naručioca kome su to pretpostavke za uspešno obavljanje poslova i zadataka. Uslovi za realizaciju navedenih ciljeva podrazumevaju pravilno utvrđivanje vrste i obima potreba naručilaca, postavljanje jasnih i opravdanih kriterijuma za odabir najpovoljnije ponude, obezbeđenje realizacije potpuno ravnopravne konkurencije, uz eliminisanje korupcije i nedozvoljenih sporazuma. Pored toga, jedna od ključnih pretpostavki za delotvorno, efikasno, transparentno i nediskriminatorno odvijanje postupaka javnih nabavki je pravilno postavljen sistem kontrole postupaka javnih nabavki, koji omogućava zaštitu prava učesnika koji smatraju da su oštećeni, kao i sprovođenje odredaba o javnim nabavkama u interesu naručilaca i javnosti. Takođe, delotvoran i efikasan institucionalni okvir i pravna sredstva podstiču učešće većeg broja ponuđača, obezbeđuju naručiocima najpovoljnije uslove i jačaju poverenje u sistem javnih nabavki. Polazeći od ovakvih ideja, Direktiva 2007/66/EZ zahteva da države članice obezbede efikasno i brzo preispitivanje odluka naručilaca u skladu sa propisanim uslovima. Ovakav stav zauzeo je i Evropski sud pravde u slučaju Alkatel, smatrajući da je cilj Direktive 89/665/EEC da uspostavi delotvorne i brze procedure za preispitivanje nezakonitih odluka naručilaca u fazi u kojoj je još uvek moguće otkloniti nepravilnosti. Prema tome, mehanizam zaštite prava u postupku javne nabavke bi trebalo da omogući blagovremeno osporavanje svake neregularnosti odluka i radnji naručilaca tokom postupka nabavke. Takođe, to podrazumeva i mogućnost preduzimanja privremenih mera protiv bilo koje odluke naručilaca, uključujući i odluku o dodeli ugovora. Sve ovo povećava zakonitost i transparentnost postupaka, kao i odgovornost službenika za javne nabavke i naručilaca. S druge strane, sistem kontrole ne bi trebalo (neopravdano) da odugovlači postupak i realizaciju ciljeva javnih nabvki i morao bi da onemogući potencijalne zloupotrebe podnosilaca pravnih sredstava.
AB  - At present, the new Public Procurement Act is in the final stage of the legislative procedure. It should complete the process of harmonization with the EU acquis in this area. On the other hand, there is the beginning of the reform of Administrative Disputes Act and laws regulating the status and organization of the administrative judiciary and the status of judges. Measures to improve the protection of rights in public procurement procedures could be divided into short-term ones and long-term ones. First, in order to increase the quality and speedness of decision-making of the Republic Commission, the election of new members should provide greater interdisciplinarity. Also, by increasing the number of judges of the Administrative Court in progress, it could gradually move towards greater specialization of court councils by areas, which would increase the quality and efficiency of decision-making. It is very important to speed up the decision of the Administrative Court, particularly because the lawsuit, as a rule has no suspensive effect, and in essence it is reduced to deciding on the right of the applicant to compensation. In the long term, it is necessary to consider whether to allow the contracting authority (and in which situations) to act as a plaintiff against the decision of the Republic Commission. Then, in the administrative dispute regarding the public procurement procedures (and otherwise), the types and modalities of the interim measures, the position of the respondent authority or the interested party in their decision-making, as well as the legal remedies against interim measures, should be considered. Also, if two levels of decision-making will be introduced in an administrative dispute, consideration should be given to whether and in which situations the appeal should be allowed, taking into account the need for effective decision-making in public procurement.

AB  - Serbia introduced the Free Access to Information of Public Importance Act (FOIA) (Official Gazette of the Republic of Serbia, no. 120/2004, 54/2007, 104/2009 and 36/2010) in 2004. The right to free access to information in public authorities’ possession has been elevated to a constitutional rank in 2006 (Art. 51, par. 2 of the Constitution) (Official Gazette of the Republic of Serbia, no. 98/2006). Transparency legislation has been completed by enactment of the Personal Data Protection Act (Official Gazette of the Republic of Serbia, no. 97/2008, 104/2009, 68/2012 and 107/2012) and the Secret Data Act (Official Gazette of the Republic of Serbia, no. 104/2009). This also rounded up the competence of the national access to information authority—the Commissioner for Free Access to Information of Public Importance and Personal Data Protection (hereinafter: Commissioner).

Pravna sigurnost u kontekstu novog zakona o opštem upravnom postupku

AB  - Kvalitet propisa i njihove primene predstavljaju jedan od veoma značajnih faktora pri donošenju odluke o investiranju u privredu određene zemlje. Pozitivni efekti takvih odluka su brojni na marko i mikroekonomskom planu, ali i na socijalnom planu, doprinose političke stabilnosti i sl. Prilikom donošenja novog ZUP-a sačuvane su brojne pozitivne karakteristike koje je ovaj zakon (sa određenim izmenama i dopunama) ostvario tokom višedecenijske primene. Novi ZUP unosi inovacije koje su pažljivo odabrane i argumentovane i koje, pored ostaloga, unapređuju pravnu sigurnost. U vezi sa tim, naročiti značaj imaju uvođenje načela predvidivosti, uređivanje garantnog akta, precizno definisanje trenutka pokretanja postupka po službenoj dužnosti i zahtevom stranke, sužavanje prostora za odstupanje od opšteg režima garantovanje nivoa zaštite prava i pravnih interesa stranaka zajemčenih ovim zakonom. Konačno, u vezi sa procesom usklađivanja posebnih zakona sa ZUP-om, autor ukazuje i na potencijalne opasnosti po pravnu sigurnost koje mogu nastati u bliskoj budućnosti ako se ne izmene i dopune prelazne i završne odredbe zakona i nudi moguće načine za prevazilaženje ovog problema.
AB  - The quality of regulations and their application are one of very important factors in making a decision on investing in the economy of a particular country. The positive effects of such decisions are numerous from the point of view of macro and micro economy, but also on the social environment, they contribute to political stability and the like. When adopting the new Law on General Administrative Procedure (LGAP), a number of positive characteristics have been preserved, which this law (with certain changes and additions) has achieved during the course of a long period of its application. The new LGAP introduces innovations that are carefully selected and argued and which, among other things, improve legal certainty. In this regard, the introduction of the principle of predictability, the regulation of the guarantee act, the precise definition of the moment of initiating the procedure ex officio and on the request of the party, the narrowing of the space for deviation from the general regime, through guarantying the level of protection of the rights and legal interests of the parties covered by this law. Finally, in connection with the process of harmonization of special laws with the LGAP, the author points out the potential threats to legal certainty that may arise in the near future if the transitional and final provisions of the law are not amended and offers possible ways to over-come this problem.

AB  - Cilj rada je utvrđivanje optimalnog modela kliringa za razvoj tržišta derivatnih ugovora u Srbiji. Jedna od osnovnih karakteristika savremenog poslovanja je dinamičnost i povećanje stepena neizvesnosti. Kao posledica ovakvih pojava javila se potreba za razvojem trgovanja izvedenim hartijama od vrednosti na organizovanim tržištima, čime bi se poslovanje učinilo izvesnijim. Neophodan preduslov za trgovanje ovom vrstom hartija od vrednosti je uspostavljanje klirinške kuće. Rezultati rada pokazuju da bi tržište derivatnih ugovora imalo značajan povoljan uticaj na segment upravljanja rizikom u finansijskom sektoru kao i u robnom sektoru. Optimalan model kliringa u Srbiji bi bio omogućavanje osnivanja klirinške kuće na samoj berzi kao i nezavisne klirinške kuće.
AB  - The aim of the study was to analyze and suggest the optimal clearinghouse models in order to develop derivative contracts in the Serbia. One of the main characteristics of modern business is dynamics and increased degree of uncertainty. As a result of increased uncertainty, need for the development of trade with derivative securities on organized markets, as a risk management instruments, is increased. A necessary prerequisite for trading with these securities is a clearinghouse. The study shows that the developed derivative exchanges have beneficial and pronounced impact on the segment of risk management in the financial sector as well as in the commodity sector. The optimal model of clearing in Serbia is establishment of two clearinghouse models in the house clearinghouses and independent clearinghouses.

AB  - Cilj ovog rada je da ukaže na značaj razvoja terminskih ugovora za privredu Srbije i na zakonski okvir kao preduslov za njihovo delotovorno trgovanje u praksi. Po vrstama terminski ugovori mogu biti: forvardi, fjučersi, opcije i svopovi. Prema stepenu organizacije tržišta derivatnih ugovora mogu se podeliti na berze (trguje se fjučersima i standardizovanim opcijama) i OTC (Over-The-Counter) vanberzanska tržišta (trguje se forvardima, nestandardizovanim opcijama i svopovima). Razvijena tržišta termisnkih ugovora omogućavaju osiguranje cene/vrednosti aktive koja je u podlozi terminskog ugovora, ili klimatskih parametara. Na ovaj način postiže se pozitivan uticaj kroz otkrivanje budućih cena što doprinosi i smanjenju volatilnosti cena, smanjenju inflatornog pritiska i sl. Iako u Srbiji postoje zakonske mogućnosti za uspostavljanje tržišta terminskih ugovora do trgovanja ovom vrstom hartija od vrednosti nije došlo. Uzroci su pre svega u neadekvatnom zakonskom okviru, kao i u činjenici da nisu uspostavljeni preduslovi u vidu opšteg poslovnog okruženja koje je od značaja za trgovanje terminskim ugovorima. Rezultati rada su pokazali da bi se dogradnjom zakonskog okvira u oblasti kliringa, osiguranja izvršenja i evidencije svop ugovora stvorile neophodne pretpostavke za uspostavljanje tržišta terminskih ugovora koje bi imale pozitivan uticaj na privredu Srbije.
AB  - The aim of the paper is to determine the prerogatives related to legal framework, as well as the importance of the development of derivative contents for the Serbian economy. Derivative contracts are: forwards, futures, options and swaps. According to the degree of organization of the market derivative contracts are traded into Exchange (futures and standardized options) and OTC (Over-The-Counter) market (forwards, non-standardized options and swaps). Developed derivative markets allow risk management i.e. price risk, interest rate risk, exchange rate risk or climate parameters (perception, temperature etc.). In this way a derivative market has positive impact through the discovery of future the price, having a positive effect on reducing price volatility, reducing inflationary pressure and the like. Although in Serbia there are legal conditions for establishing derivative contracts, trade with this type of securities not yet come. The causes are primarily in the inadequate legal framework and the non prerequisites in the overall business environment, which is important for trading this contracts. The analyze in this paper showed that the upgrading of the legal framework in the field of clearing, execution and records of swap contracts will create the necessary prerequisites for establishing a futures market that would have a positive impact on the Serbian economy.

AB  - One of the key dilemmas faced in organizing a state and society concerns the importance afforded to central and local goals and interests. Adaptation to demographic, economic, political, scientific and technological changes in the environment requires changes in the status and role of local self-government. Adding to this mix, the constitutional and administrative traditions of Serbia affect the establishment and development of local self-government. Therefore, the enhancement of the model of local self-government must be studied using the historical method, among others. This paper aims to provide an overview of the historical development of local self-government in Serbia from the period of Developed Feudalism up to the mid-1990s. Historical considerations and traditions are vital to sustaining a certain practice of territorial decentralization of state power and to envisaging future solutions for the effective territorial organization and models of local (self) government in accordance with the realities of the region.

Aktivnosti za prevazilaženje problema na finansijskom tržištu

AB  - Pravni okvir u pogledu instrumenata, učesnika i funkcionisanja tržišta kapitala je, u načelu, pravilno postavljen i usklađen sa pravnim tekovinama Evropske unije. Nedostaju Zakon o robnim berzama i izmene i dopune Zakona o tržištu kapitala u delu koji se odnose na izvedene finansijske instrumente. Uzroci glavnih problema nalaze se u ekonomskoj krizi, smanjenim mogućnostima, ali i volji za investiranje u finansijske instrumente, kao i nedovoljnoj kreativnosti i inventivnosti. Država bi trebalo da omogući organizovanje sekundarnog tržišta državnih obveznica. Neophodno je povećati odgovornost revizorskih kuća, kroz zahtev da revizorski izveštaji budu precizniji i da ne sadrže značajna ograničenja od odgovornosti. Postoji i problem velikih neizmirenih dugova firmi, zbog mogućnosti brzog osnivanja privrednih subjekata, zasnovan na principu formalne istine. Ona podstiče osnivanje novih kompanija istog vlasnika, koje nastavljaju da posluju nezavisno od prethodnih dugova. Smatramo da bi insitut probijanja pravne ličnosti trebalo znatno češće koristiti, što bi 'obeshrabrilo' ova lica da izbegavaju ranije obaveze. Takođe, krivično gonjenje bi u ovim situacijama moralo da bude znatno efikasnije.
AB  - Regulations governing instruments, participants and the functioning of the capital markets generally are properly positioned and aligned with the EU acquis. Law on commodity exchanges and amendments to the Capital Market Law in the part relating to financial derivatives are missing. Causes of the main problems lie in the economic crisis, reduced opportunities, and the will to invest in financial instruments, as well as the lack of creativity and inventiveness. The state should facilitate the organization of the secondary market for government bonds. It is necessary to increase the responsibility of audit firms, the requirement that audit reports are accurate and do not contain substantial fence of possible liability. There is also the problem of outstanding debt that is due to the possibility of rapid establishment of business entities, based on the principle of formal truth. It encourages the establishment of new companies of the same owner, which they continued to operate independently of the previous debts. We think that the institute of piercing the corporate veil should be more often used, which would 'discourage' these persons to avoid earlier commitments. Also, the prosecution would have in these situations to be much more efficient.

AB  - Autori se u radu bave pitanjem dostupnosti informacija od javnog značaja na finansijskom tržištu. Tokom rada organa javne vlasti nastaju brojne informacije ili organi javne vlasti dolaze u posed različitih informacija, od kojih su posebno značajne one do kojih Komisija dođe vršenjem nadzora. Ti podaci predstavljaju poslovnu tajnu. Autori smatraju da bi trebalo da postoji pravo na slobodan pristup informacijama o nezakonitom i nepravilnom poslovanju i postupanju i da bi organi koji vrše javna ovlašćenja na finansijskom tržištu trebalo da, po sopstvenoj inicijativi, objave ove podatke. Analizirajući posebno osetljivo pitanje insajderskih informacija u kontekstu dostupnosti informacija od javog značaja, autori zaključuju da bi Komisija trebala da javno objavi insajdersku informaciju kada smatra da treba omogućiti slobodan pristup toj informaciji, a ne da je isključivo dostavi licu koje je podnelo zahtev.
AB  - In terms of the principle of transparency, public authorities are obliged to provide public access to their activities, according to the law governing free access to information of public importance (FAIPIA). FAIPIA under it involves information held by a public authority, resulting in activities or in connection with the activities of this body, and it refers to everything that the public has a legitimate interest to acquire knowledge. During its functioning public authorities create a lot of information or come into the possession of different information, where special importance have information that these bodies obtained in inspection or similar ways of control in different areas. These data, in addition to the information available to the public, are considered as business secret of Securities Commission. In connection with the fact that this information is secret, of importance is the provision of FAIPIA, according to which the right to free access to such information can be very subject to limitations prescribed by this law, if it is necessary in a democratic society for the protection of the serious injury of an overriding interest based on the Constitution or the law. The authors believe that the legal guarantee of confidentiality of official information obtained in the control of the financial markets should not be used to conceal illegal activities which violate the legitimate interests of citizens and public interest in the protection of vital value. Therefore, they have the opinion that there should be a right to access information about the illegal and irregular operations and treatment. On the other hand, they consider that bodies exercising public powers in the financial markets should also, on its own initiative, publish this data with the aim of regulation by (negative) reputation. Authors present problems with regard to the possibility of use of legal remedies, and the inability of the body that in the first instance rejected the request for free access to information of public interest to institute administrative proceedings against the Commissioner. They also discussed the possibility of the participation of the person to whom the information of public interest concerns in the first instance before the competent public authorities, in the proceedings before the Commissioner, and the ability of this person to submit a claim for an administrative dispute against the decision of the Commissioner. The same issues were discussed and related to other public authorities with the information found in the possession of public authorities in the financial markets as a result of their cooperation and coordination. The authors point out their position on mandatory public disclosure of inside information for which request for free access to information of public importance was submitted, whether by public authorities or by the Commissioner. They also presented the position of other public authorities in the financial market such as BSE and the Central Registry. At the end of the paper the authors discuss the public policy issues underlying the FAIPIA and General Administrative Procedure Act.

AB  - Predmet istraživanja ovog rada su problemi koji se pojavljuju u praksi u pogledu realizacije prava na prinudni otkup akcija, u vezi sa akcijama čija je kupovina 'blokirana', jer one predstavljaju predmet obezbeđenja određenog potraživanja na osnovu ugovora o zalozi. Pored analize odredaba zakona i drugih propisa koje uređuju ova dva instituta, nastojimo da pronađemo rešenje u okviru važećih pravnih normi, koje bi obezbedilo zaštitu interesa svih učesnika u ovom procesu i onemogućilo zloupotrebe priznatih prava, ali i da utvrdimo da li postoji potreba za unošenjem zakonskih novina u ovoj oblasti. Pri tome, imaju se u vidu ciljevi ovih instituta, opravdana očekivanja svih učesnika, vremenska dimenzija u kojoj nastaju i realizuju se prava i obaveze, kao i nastojanja prisutna kod pojedinih lica da se iskoristi simulovani posao u cilju ostvarivanja neopravdanog obogaćenja.
AB  - The subject of this paper are the problems that arise in practice in terms of realization of the right of compulsory purchase of shares in connection with shares whose purchase is 'blocked' because they represent a means of securing a claim under a contract of pledge. In addition to the analysis of the laws and regulations governing these two institutes the author is trying to find a solution within the existing legal norms, which would ensure protection of the interests of all stakeholders in this process, and preventing abuse of the rights recognized, but also to determine whether there is a need for new legislation in this area. In doing so, he has in mind the objectives of these institutions, justified expectations of all participants, the time dimension in which the rights and obligations arise and implement, and the present efforts of certain individuals to make use of simulated legal transaction in order to achieve an unjustified enrichment.

AB  - This paper completes the research of the administrative appeal under the Serbian law. It is preceded by two articles containing normative analyses of the general regime of the administrative appeal as prescribed in the General Administrative Proceeding Act and administrative remedies in special policy domains. AB  - Rad je posvećen naučnim radovima profesora Slavoljuba Popovića o upravnim ugovorima. Autor predočava da je profesor Popović, temeljnim izučavanjem rešenja srodnih pravnih sistema i specifičnosti pojedinih država u njenim okvirima, kao i mogućnosti primene tih rešenja u našem pravnom poretku, pružio osnovu za potpunije sagledavanje niza pitanja koja u pojedinim periodima njegovog rada nisu postojala ili su imala sasvim drugačije karakteristike, a koja su danas veoma aktuelna. Izrečenoj konstataciji upodobljava se i institut upravnih ugovora. S toga, u radu je predočeno Popovićevo gledište o pojmu upravnih ugovora, kao i Popovićeva analiza upravnih ugovora u nas i u stranom pravu.
AB  - This paper is dedicated to the scientific work of professor Popović on administrative contracts. Author presents that Professor Popović, by thorough studying of solutions in similar legal systems and specifics of individual states within them, as well as of potential application of these solutions in our legal system, provided the basis for a more complete understanding of a number of issues that in some periods of his work did not exist or had quite different characteristics, but which are very relevant today. These findings are also relevant for institute of administrative contracts. In addition, the paper presents Popović's view on the concept of administrative contracts, and Popović's analysis of administrative contracts in Serbia and in foreign law.

AB  - U radu autor najpre daje prikaz međunarodnog i domaćeg ekonomskog okruženja. On ukazuje da pojedini problemi domaćeg finansijskog tržišta nisu isključivo posledica zakona koji ga neposredno reguliše, nego i drugih povezanih propisa kao i određenog stanja i mera ekonomije. Autor razmatra razloge koji su navedeni za izradu Nacrta Zakona o tržištu hartija od vrednosti i drugih finansijskih instrumenata. On ukazuje na potrebu korišćenja preciznih i jasnih termina, uzimanja u obzir najnovijeg razvoja u regulativi EU i SAD, analize svih efekata novog zakona i druga pitanja koja bi trebala da obezbede kvalitet i dugotrajnost novih rešenja. Posebnu pažnju posvećuje pitanjima nove organizacione strukture sekundarnog tržišta, fonda za zaštitu investitora, investicionim društvima i nadzornim ovlašćenjima Komisije za hartije od vrednosti. .
AB  - In this paper author first gives an overview of international and national economic environment. He points out that some problems of domestic financial markets are not solely a result of laws that directly regulate it, but also other related regulations as well as state of the economy. Author discusses the reasons listed for the drafting of the Act on Securities and Other Financial Instruments Markets. He points out the need to use precise and clear terms, taking into account the latest development in the EU and U.S. regulations, analysis of the effects of new legislation and other issues that should ensure the quality and durability of new solutions. Special attention he gives to issues of a new organizational structure of secondary markets, investor protection fund, investment companies and the supervisory powers of Securities Commission. .
